Annual Program Fee Sample Clauses
The Annual Program Fee clause establishes the requirement for a recurring yearly payment by one party, typically in exchange for continued participation in a program or access to certain services. This fee is usually invoiced on an annual basis and may be fixed or subject to adjustment as specified in the agreement. Its core practical function is to ensure ongoing funding for the program and to clearly define the financial obligations of the participating party, thereby preventing misunderstandings about payment expectations.
Annual Program Fee. 2 Individual: $900 per year. First Family Member or Registered Domestic Partner: $900 per year. Second Family Member or Registered Domestic Partner: $900 per year. Third and Fourth Family Members: $300 per person. Fifth Family Member and beyond is free. You may elect to pay the Annual Program Fee on an annual or on a monthly basis in advance of each month. If you elect to pay on a monthly basis, each fee installment will be paid on the first day of each month as set forth in footnote 2 at the end of this Agreement.
Annual Program Fee. In addition to fees for Drug Substance delivered under Binding Orders, Sponsor shall pay Fujifilm the Annual Program Fee listed in Attachment 1. The Annual Program Fee for a calendar year shall be invoiced at the beginning of that year.
Annual Program Fee. (a) May 31st Program Fee Payment. On May 31st of each year during the Term of this Agreement, EFS will pay to Bank a program fee (the "Program Fee") of $7.5 million, in addition to fees otherwise due hereunder.
(b) Partial Program Fee Payment Provisions. During the Term of this Agreement with respect to any partial year between June 1st of a given year and May 31st of the following year:
(i) if termination of this Agreement occurs on or after June 1st, but prior to the start of the first full calendar month after the anniversary of the Closing Date, no partial Program Fee will be due; or
(ii) if termination of this Agreement occurs after the start of the first full calendar month after the anniversary of the Closing Date, but prior to the subsequent May 31st, then a partial Program Fee will be due. The partial portion of $7.5 million Program Fee will be an amount equal to $625,000 multiplied by the number of full calendar months between the anniversary of the Closing Date and the date of termination of this Agreement.
Annual Program Fee. The Program annual fee for the Partner Level specified in Exhibit A and the Order Form is due upon the Billing Start Date (as defined in Section 7.1 below) and on each anniversary of that date.
Annual Program Fee. For so long as the Value Added Industry Remarketer Agreement dated June [ ], 2000 between Siebel and Partner (the "VAR Agreement") remains binding and enforceable and has not otherwise expired or terminated, Siebel shall waive payment under Section 4.1 of the applicable annual fee for the Partner Category and Partner Level as stated in the Siebel Alliance Program Guide. Upon any expiration or termination of the VAR Agreement, Partner shall promptly pay to Siebel the applicable annual fee for such period during which such expiration or termination of the VAR Agreement occurred and any subsequent renewal periods of this Agreement in accordance with the provisions of Section 4.1.
