Common use of Annual Independent Public Accountants' Servicing Report Clause in Contracts

Annual Independent Public Accountants' Servicing Report. On or before February 28, of each year beginning February 28, 2004, the Company, at its expense, shall cause a firm of independent public accountants which is a member of the American Institute of Certified Public Accountants to furnish a statement to each Purchaser to the effect that such firm has examined certain documents and records relating to the servicing of the mortgage loans similar in nature and that such firm is of the opinion that the provisions of this or similar Agreements have been complied with, and that, on the basis of such examination conducted substantially in compliance with the Uniform Single Attestation Program for Mortgage Bankers, nothing has come to their attention which would indicate that such servicing has not been conducted in compliance therewith, except for (i) such exceptions as such firm shall believe to be immaterial, and (ii) such other exceptions as shall be set forth in such statement. By providing Purchaser a copy of a Uniform Single Attestation Program Report from their independent public accountant's on an annual basis, Company shall be considered to have fulfilled its obligations under this Section 6.05.

On or before February 28, June 30 of each year beginning February 28June 30, 20042009, the CompanyServicer, at its expensethe expense of the Owner, shall cause a firm of independent public accountants which is a member of the American Institute of Certified Public Accountants to furnish a statement to each Purchaser the Owner to the effect that such firm has examined certain documents and records relating to the servicing of the mortgage loans similar in nature and that such firm is of the opinion that the provisions of this or similar Agreements have been complied with, and that, on the basis of such examination conducted substantially in compliance with the Uniform Single Attestation Program for Mortgage Bankers, nothing has come to their attention which would indicate that such servicing has not been conducted in compliance therewith, except for (i) such exceptions as such firm shall believe to be immaterial, and (ii) such other exceptions as shall be set forth in such statement. By providing Purchaser the Owner a copy of a Uniform Single Attestation Program Report from their independent public accountant's ’s on an annual basis, Company the Servicer shall be considered to have fulfilled its obligations under this Section 6.054.4.

By providing the Purchaser a copy of a Uniform Single Attestation Program Report from their independent public accountant's ’s on an annual basis, the Company shall be considered to have fulfilled its obligations under this Section 6.056.5.

On or before February 28, 28th of each year beginning year, commencing in February 28, 2004200_, the CompanyServicer, at its expense, shall cause a firm of independent public accountants which is a member of the American Institute of Certified Public Accountants to furnish a statement to each Purchaser to the effect that such firm has examined certain documents and records relating to the servicing of the residential mortgage loans similar in nature by the Servicer during such fiscal year and that such firm is of the opinion that the provisions of this or similar Agreements have been complied with, and that, on the basis of such examination conducted substantially in compliance with the Uniform Single Attestation Program for Mortgage Bankers, nothing has come to their attention which would indicate that such servicing has not been conducted in compliance therewith, except for (ia) such exceptions as such firm shall believe to be immaterial, and (iib) such other exceptions as shall be set forth in such statement. By providing Purchaser the Trustee a copy of a Uniform Single Attestation Program Report from their independent public accountant's ’s on an annual basis, Company the Servicer shall be considered to have fulfilled its obligations under this Section 6.055.5.
