Common use of Annual Certificate Clause in Contracts

Annual Certificate. Within 120 days after the close of each fiscal year of Lessee, Lessee shall deliver to Lessor and Mortgagee an Officer's Certificate of Lessee (which, in lieu of delivery pursuant to Section 18.6, may be delivered by e-mail and, in such case, need not include a manual signature of a required officer but instead shall set forth a typed signature of such an officer) to the effect that such officer is familiar with or has reviewed or caused to be reviewed the relevant terms of this Lease and the other Lessee Operative Agreements and that such officer does not have knowledge of the existence as at the date of such certificate of any Lease Event of Default or, if any such Lease Event of Default exists, specifying the nature and period of existence thereof and the action Lessee has taken or is taking or proposes to take with respect thereto.

Within 120 days after the close of each fiscal year of Lessee, Lessee shall deliver to Lessor and Mortgagee Owner Participant an Officer's ’s Certificate of Lessee (which, in lieu of delivery pursuant to Section 18.6, may be delivered by e-mail and, in such case, need not include a manual signature of a required officer but instead shall set forth a typed signature of such an officer) to the effect that such officer is familiar with or has reviewed or caused to be reviewed the relevant terms of this Lease and the other Operative Agreements, and has made, or caused to be made under his or her supervision, a review of the transactions and condition of Lessee Operative Agreements during the preceding fiscal year, and that following such review such officer does not have knowledge of the existence as at the date of such certificate of any Lease Event of Default (or, if to such officer’s knowledge any such Lease Event of Default existed or exists, specifying the nature and period of existence thereof and the action Lessee has taken or is taking or proposes to take with respect thereto).
