Common use of Annual and Quarterly Financial Statements Clause in Contracts

Annual and Quarterly Financial Statements. Roxio shall provide to Adaptec on a timely basis all Information that Adaptec reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of Adaptec's annual and quarterly financial statements. Without limiting the generality of the foregoing, Roxio will provide all required financial Information with respect to Roxio and its Subsidiaries to Roxio's Auditors in a sufficient and reasonable time and in sufficient detail to permit Roxio's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to Adaptec's Auditors with respect to Information to be included or contained in Adaptec's annual and quarterly financial statements. Similarly, Adaptec shall provide to Roxio on a timely basis all Information that Roxio reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of Roxio's annual and quarterly financial statements. Without limiting the generality of the foregoing, Adaptec will provide all required financial Information with respect to Adaptec and its Subsidiaries to Adaptec's Auditors in a sufficient and reasonable time and in sufficient detail to permit Adaptec's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to Roxio's Auditors with respect to Information to be included or contained in Roxio's annual and quarterly financial statements.

Roxio Agilent shall provide to Adaptec HP on a timely basis all Information that Adaptec HP reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of AdaptecHP's annual and quarterly financial statements. Without limiting the generality of the foregoing, Roxio Agilent will provide all required financial Information with respect to Roxio Agilent and its Subsidiaries to RoxioAgilent's Auditors in a sufficient and reasonable time and in sufficient detail to permit RoxioAgilent's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to AdaptecHP's Auditors with respect to Information to be included or contained in AdaptecHP's annual and quarterly financial statements. Similarly, Adaptec HP shall provide to Roxio Agilent on a timely basis all Information that Roxio Agilent reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of RoxioAgilent's annual and quarterly financial statements. Without limiting the generality of the foregoing, Adaptec HP will provide all required financial Information with respect to Adaptec HP and its Subsidiaries to AdaptecHP's Auditors in a sufficient and reasonable time and in sufficient detail to permit AdaptecHP's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to RoxioAgilent's Auditors with respect to Information to be included or contained in RoxioAgilent's annual and quarterly financial statements.

Roxio Vialta shall provide to Adaptec ESS Technology on a timely basis all Information that Adaptec ESS Technology reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of AdaptecESS Technology's annual and quarterly financial statements. Without limiting the generality of the foregoing, Roxio Vialta will provide all required financial Information with respect to Roxio Vialta and its Subsidiaries to RoxioVialta's Auditors in a sufficient and reasonable time and in sufficient detail to permit RoxioVialta's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to AdaptecESS Technology's Auditors with respect to Information to be included or contained in AdaptecESS Technology's annual and quarterly financial statements. Similarly, Adaptec ESS Technology shall provide to Roxio Vialta on a timely basis all Information that Roxio Vialta reasonably requires to meet its schedule for the preparation, printing, filing, filing and public dissemination of RoxioVialta's annual and quarterly financial statements. Without limiting the generality of the foregoing, Adaptec ESS Technology will provide all required financial Information with respect to Adaptec ESS Technology and its Subsidiaries to AdaptecESS Technology's Auditors in a sufficient and reasonable time and in sufficient detail to permit AdaptecESS Technology's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to RoxioVialta's Auditors with respect to Information to be included or contained in RoxioVialta's annual and quarterly financial statements.

Roxio Luminent shall provide to Adaptec MRV on a timely basis all Information that Adaptec MRV reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of AdaptecMRV's annual and quarterly financial statements. Without limiting the generality of the foregoing, Roxio Luminent will provide all required financial Information with respect to Roxio Luminent and its Subsidiaries to RoxioLuminent's Auditors in a sufficient and reasonable time and in sufficient detail to permit RoxioLuminent's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to AdaptecMRV's Auditors with respect to financial Information to be included or contained in AdaptecMRV's annual and quarterly financial statements. Similarly, Adaptec MRV shall provide to Roxio Luminent on a timely basis all financial Information that Roxio Luminent reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of RoxioLuminent's annual and quarterly financial statements. Without limiting the generality of the foregoing, Adaptec MRV will provide all required financial Information with respect to Adaptec MRV and its Subsidiaries to AdaptecMRV's Auditors in a sufficient and reasonable time and in sufficient detail to permit AdaptecMRV's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to RoxioLuminent's Auditors with respect to Information to be included or contained in RoxioLuminent's annual and quarterly financial statements.

Roxio eFunds shall provide to Adaptec Deluxe on a timely basis all Information that Adaptec Deluxe reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of AdaptecDeluxe's annual and quarterly financial statements. Without limiting the generality of the foregoing, Roxio eFunds will provide all required financial Information with respect to Roxio eFunds and its Subsidiaries to RoxioeFunds's Auditors in a sufficient and reasonable time and in sufficient detail to permit RoxioeFunds's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to AdaptecDeluxe's Auditors with respect to Information to be included or contained in AdaptecDeluxe's annual and quarterly financial statements. Similarly, Adaptec Deluxe shall provide to Roxio eFunds on a timely basis all Information that Roxio eFunds reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of RoxioeFunds's annual and quarterly financial statements. Without limiting the generality of the foregoing, Adaptec Deluxe will provide all required financial Information with respect to Adaptec Deluxe and its Subsidiaries to AdaptecDeluxe's Auditors in a sufficient and reasonable time and in sufficient detail to permit AdaptecDeluxe's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to RoxioeFunds's Auditors with respect to Information to be included or contained in RoxioeFunds's annual and quarterly financial statements.

Roxio Supply Holdco shall provide to Adaptec Allegheny on a timely basis all Information that Adaptec Allegheny reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of AdaptecAllegheny's annual and quarterly financial statements. Without limiting the generality of the foregoing, Roxio Supply Holdco will provide all required financial Information with respect to Roxio Supply Holdco and its Subsidiaries to Roxio's the Supply Holdco Auditors in a sufficient and reasonable time and in sufficient detail to permit Roxio's the Supply Holdco Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to AdaptecAllegheny's Auditors with respect to Information to be included or contained in AdaptecAllegheny's annual and quarterly financial statements. Similarly, Adaptec Allegheny shall provide to Roxio Supply Holdco on a timely basis all Information that Roxio Supply Holdco reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of RoxioSupply Holdco's annual and quarterly financial statements. Without limiting the generality of the foregoing, Adaptec Allegheny will provide all required financial Information with respect to Adaptec Allegheny and its Subsidiaries to AdaptecAllegheny's Auditors in a sufficient and reasonable time and in sufficient detail to permit AdaptecAllegheny's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to Roxio's the Supply Holdco Auditors with respect to Information to be included or contained in RoxioSupply Holdco's annual and quarterly financial statements.

Roxio Omega shall provide to Adaptec Mestek on a timely basis all Information that Adaptec Mestek reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of Adaptec's Mestek’s annual and quarterly financial statementsstatements for so long as Mestek is a publicly traded company. Without limiting the generality of the foregoing, Roxio Omega will provide all required financial Information with respect to Roxio Omega and its Subsidiaries to Roxio's Omega’s Auditors in a sufficient and reasonable time and in sufficient detail to permit Roxio's Omega’s Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to Adaptec's Mestek’s Auditors with respect to financial Information to be included or contained in Adaptec's Mestek’s annual and quarterly financial statements. Similarly, Adaptec Mestek shall provide to Roxio Omega on a timely basis all financial Information that Roxio Omega reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of Roxio's Omega’s annual and quarterly financial statements. Without limiting the generality of the foregoing, Adaptec Mestek will provide all required financial Information with respect to Adaptec Mestek and its Subsidiaries to Adaptec's Mestek’s Auditors in a sufficient and reasonable time and in sufficient detail to permit Adaptec's Mestek’s Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to Roxio's Omega’s Auditors with respect to Information to be included or contained in Roxio's Omega’s annual and quarterly financial statements.
