Common use of Announcements Clause in Contracts

Announcements. Seller and Buyer shall consult with each other with regard to all press releases and other announcements issued after the date of execution of this Agreement and prior to the Closing Date concerning this Agreement or this Transaction and, except as may be required by applicable laws or the applicable rules and regulations of any governmental agency or stock exchange, Buyer or Seller shall not issue any such press release or other publicity without the prior written consent of the other Party, which consent shall not be unreasonably withheld.

Announcements. Seller and Buyer shall consult with each other before issuing any press releasx xx otherwise making any public statements with regard respect to all press releases and other announcements issued after the date of execution of this Agreement and the transactions contemplated by this Agreement, and neither Seller nor Buyer shall issue any such press release or make any public statement without the prior written approval of the other party to the Closing Date concerning this Agreement or this Transaction andAgreement, such approval not to be unreasonably withheld, except as may be required by applicable laws or the applicable rules and regulations of any governmental agency or stock exchange, Buyer or Seller shall not issue any such press release or other publicity without the prior written consent of the other Party, which consent shall not be unreasonably withheldlaw.

Announcements. Seller and Buyer shall consult with each other with regard to all press releases and other announcements issued after the date of execution of this Agreement and prior to the Closing Date concerning this Agreement or this Transaction the transactions contemplated hereby and, except as may be required by applicable laws or the applicable rules and regulations of any governmental agency or stock exchange, Buyer or Seller shall not disclose the Purchase Price for a period of two years following Closing, and neither Buyer nor Seller shall issue any such press release or other publicity without the prior written consent of the other Party, which consent shall not be unreasonably withheldparty unless a party is advised by counsel that it is under a legal obligation to issue such publicity.

Seller and Buyer shall consult with each other with regard to all press releases and other announcements issued after the date of execution of this Agreement and prior to the Initial Closing Date concerning this Agreement or this Transaction and, except the Transaction. Except as may be required by applicable laws or the applicable rules and regulations of any governmental agency or stock exchange, neither Buyer or nor Seller shall not issue any such press release or other publicity without the prior written consent of the other Party, which consent shall not be unreasonably withheld. Notwithstanding the foregoing, any press release shall not contain the name of Seller without Seller’s consent.

The Seller and the Buyer shall consult with each other with regard to all press releases and other announcements issued after the date of execution of this Agreement and prior to the Closing Date by either party concerning this Agreement or this Transaction the transaction contemplated hereby and, except as may be required by applicable laws or the applicable rules and regulations of any governmental agency or stock exchange, neither the Buyer or nor the Seller shall not issue any such press release or other publicity without the prior written consent of the other Party, which consent shall not be unreasonably withheldparty.

Seller and Buyer shall consult with each other with regard to all press releases and other announcements issued after the date of execution of this Agreement and prior to the Closing Date concerning this Agreement or the transaction contemplated by this Transaction Agreement and, except as may be required by applicable laws or the applicable rules and regulations of any governmental agency or stock exchangeagency, Buyer or and/or Seller shall not issue any such press release or any other publicity announcement without the prior written consent of the other Party, which consent shall not be unreasonably withheldparty.

Except as may be required by applicable laws or the applicable rules and or regulations of any governmental agency or stock exchange, neither Buyer or nor Seller shall not issue any such press release or other publicity without the prior written consent of the other Partyparty. Notwithstanding the foregoing, which consent Seller and Buyer shall not be unreasonably withheldeach have the right to disclose the transaction to the extent set out on the attached form of press release (Exhibit “J”).

Announcements. Seller and Buyer shall consult with each other with regard to all press releases and other announcements issued after the date of execution of this Agreement and prior to the Closing Date concerning this Agreement or this Transaction the transactions contemplated hereby and, except as may be required by applicable laws or the applicable rules and regulations of any governmental agency or stock exchange, neither Buyer or nor Seller shall not issue any such press release or make any other publicity announcement without the prior written consent of the other Party, which consent party. Each party shall not be unreasonably withheldfurnish to the other party a copy of any such release or announcement prior to its release.

After Closing, Seller and Buyer Purchaser shall consult with each other with regard to all press releases and other announcements issued after the date of execution of this Agreement and prior to the Closing Date concerning this Agreement or this Transaction and, the transactions contemplated hereby and except as may be required by applicable laws or the applicable rules and regulations of any governmental agency agency, self-regulatory organization or stock exchange, Buyer or and Purchaser and Seller shall not issue any such press release or make any other publicity announcement without the prior written consent of the other Party, which consent shall not be unreasonably withheld.party. 12.08

Seller and Buyer shall consult with each other with regard to all press publicity and other releases and other announcements issued disclosures to be made prior to, at or after the date of execution of Closing concerning this Agreement and prior to the Closing Date concerning this Agreement or this Transaction transactions contemplated hereby, which are not otherwise expressly permitted hereby, and, except as may be reasonably necessary or required by applicable laws or the applicable rules and regulations of Law, any governmental agency or Governmental Authority, stock exchange, Buyer or Seller capital raise, where reasonably possible, neither Party shall not make any disclosure or issue any such press release publicity or other publicity release without the prior written consent of the other Party, which consent shall not be unreasonably withheld., conditioned or delayed.‌
