Amendments to the NERC Rules of Procedure. NERC shall not adopt amendments to the NERC Rules of Procedure that conflict with the rights, obligations, or programs of Midwest Reliability Organization under this Agreement without first obtaining the consent of Midwest Reliability Organization which consent shall not be unreasonably withheld or delayed. To the extent Midwest Reliability Organization does not consent, NERC shall have the right to invoke the dispute resolution provisions of Section 18 and, if such effort fails to resolve the dispute, to petition the Commission to adopt the amendment to the NERC Rules of Procedure. To the extent that the Commission issues an order amending or materially affecting the rights or obligations of Midwest Reliability Organization under this Agreement, Midwest Reliability Organization shall have the option, exercisable no later than 60 days after issuance of such order, to terminate this Agreement. Such termination shall be effective one year following written notice by Midwest Reliability Organization to NERC and the Commission, or at such other time as may be mutually agreed by Midwest Reliability Organization and NERC.
