Common use of Amendment to Section 7(a) Clause in Contracts

Amendment to Section 7(a). Section 7(a) of the Rights Agreement is hereby amended by adding the following sentence to the end thereof: “Notwithstanding anything to the contrary in this Agreement, immediately prior to the Effective Time (as defined in the Merger Agreement) this Agreement shall automatically terminate (without any further action of the parties hereto), all Rights established hereunder shall automatically expire and such time shall be deemed the Expiration Date for all purposes of this Agreement.”

Section 7(a) of the Rights Agreement is hereby amended by adding the following sentence to the end thereof: of Section 7(a): “Notwithstanding anything to For the contrary in avoidance of doubt, this Agreement, Rights Agreement shall expire immediately prior to the Effective Time (as defined of the Merger in accordance with the terms of the Merger Agreement) this Agreement shall automatically terminate (without any further action of the parties hereto), all Rights established hereunder shall automatically expire and such time shall be deemed the Expiration Date for all purposes of this Agreement.”

Amendment to Section 7(a). Section 7(a) of the Rights Agreement is hereby amended by adding the following sentence to the end thereofthereof which shall read as follows: “Notwithstanding anything to the contrary in this Agreement, immediately prior to the Effective Time Offer Closing (as defined in the Merger Agreement) this Agreement shall automatically terminate (without any further action of the parties hereto), all Rights established hereunder shall automatically expire and such time shall be deemed the Final Expiration Date for all purposes of this Agreement.”
