Common use of Amendment; Interpretation Clause in Contracts

Amendment; Interpretation. This Agreement may not be amended except by a writing signed by each party hereto. The parties agree that all parties participated in the preparation and negotiation of this Agreement and the transactions contemplated hereby and this Agreement shall not be construed against any party by virtue of the fact that any party prepared or drafted such agreements.

The parties agree that all parties participated in the preparation subject matter and negotiation language of this Agreement has been the subject of negotiations between the parties hereto and the transactions contemplated hereby their respective counsel, and this Agreement has been jointly prepared by them; accordingly, this Agreement shall not be construed against any party hereto on the basis that it was drafted by virtue of the fact that any such party prepared or drafted such agreementsits counsel.
