Common use of Amendment costs Clause in Contracts

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 (Change of currency), the Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 31.10 32.10 (Change of currency), the Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 28.9 (Change of currency), the Parent shall, within three five Business Days of demand, reimburse each of the Agent and the Security Trustee for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 33.10 (Change of currency), the Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee Agent (and, in the case of the Security TrusteeAgent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 32.9 (Change of currencyCurrency), the Parent shallshall (or shall procure that an Obligor will), within three five Business Days of demand, reimburse each of the Agent and the Security Trustee for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 27.10 (Change of currency), the Parent shall, within three five Business Days of demand, reimburse each of the Agent and the Security Trustee for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent and the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 33.10 (Change of currency), the Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and or the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 35.10 (Change of currency), the Parent shall, within three five Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee Agent (and, in the case of the Security TrusteeAgent, by any Receiver or Delegate) (in each case subject to agreed caps (if any)) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 30.13 (Change of currency), the Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee Agent (and, in the case of the Security TrusteeAgent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 35.10 (Change of currency), the Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal travel and/or valuation fees) reasonably incurred by the Agent and the Security Trustee Agent (and, in the case of the Security TrusteeAgent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 15.16 (Change of currency), the Parent shall, within three Business Days of demand, and having been provided with reasonable evidence of such, reimburse each of the Facility Agent and the Security Trustee for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Facility Agent and the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 33.9 (Change of currency), the Parent shall, within three Business Days of demand, reimburse (or procure reimbursement of) each of the Facility Agent and the Security Trustee for the amount of all reasonable and properly documented costs and expenses (including legal fees) reasonably incurred by the Facility Agent and the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 31.10 31.9 (Change of currency), the Parent shallshall in each case, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee Agent (and, in the case of the Security TrusteeAgent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 30.10 (Change of currency), the Parent shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Trustee for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 24.7 (Change of currency), the Ultimate Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Lender for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent and the Security Trustee (and, in the case of the Security Trustee, Lender or by any Receiver or Delegate) Delegate in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 33.9 (Change of currency), the Parent shall, within three Business Days of demand, reimburse (or procure reimbursement of) each of the Facility Agent and the Security Trustee for the amount of all costs and expenses (including legal fees) reasonably incurred by the Facility Agent and the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 34.9 (Change of currency), the Parent shall, within three Business Days of demand, reimburse (or cause to be paid to) each of the Agent Agents and the Security Trustee Agent, as applicable, for the amount of all costs and expenses (including legal fees) reasonably incurred by the such Agent and the such Security Trustee Agent (and, in the case of the a Security TrusteeAgent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 clause 38.9 (Change of currency), the each Unit Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and or the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 29.9 (Change of currency), the Parent Borrowers shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and or the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 29.9 (Change of currency), the Parent Original Borrower shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and or the Security Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 31.10 36.10 (Change of currency), the Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Trustee Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Trustee Agent (and, in the case of the Security TrusteeAgent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.
