Common use of Amendment costs Clause in Contracts

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 (Change of currency), each of the Borrowers shall, within three Business Days of demand, reimburse the Agent for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counsel) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent under any Finance Document or (b) an amendment is required pursuant to Clause 33.9 29.9 (Change of currency), each of the Borrowers shall, within three 3 Business Days of demand, reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent that Finance Party in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 clause 29.9 (Change of currency), each of the Borrowers Borrower shall, within three 3 (three) Business Days of demand, reimburse the Agent each Senior Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by each Senior Finance Party (and, in the case of the Security Agent and/or either Security SPV, by any Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent consent, or (b) an amendment is required pursuant to Clause 33.9 29.7 (Change of currency), each of the Borrowers Borrower shall, within three (3) Business Days of demanddemand or the date specified in the demand (whichever is later), reimburse the Agent Finance Parties for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by or for the Agent account of the Finance Parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 30.9 (Change of currency), each of the Borrowers Borrower shall, within three Business Days of demand, reimburse the Agent Administrative Parties for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent Administrative Parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 23.6 (Change of currency), each of the Borrowers Borrower shall, within three Business (3) Banking Days of demand, reimburse the Agent Lender for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably on a full indemnity basis incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 33.9 28.9 (Change of currency), each of the Borrowers Issuer shall, within three (3) Business Days of demand, reimburse the Agent relevant Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent Finance Parties (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 30.9 (Change of currency), each of the Borrowers Borrower shall, within three five (5) Business Days of demand, reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable agreed legal fees of outside counselfees) reasonably incurred by the Agent that Finance Party in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If 18.2.1 If: (a) an Obligor the Company requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 33.9 32.8 (Change of currency), each of the Borrowers Company shall, within three Business Days of demand, demand reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by that Finance Party (and, in the Agent case of the Lender, by any Representative appointed by it) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) If: 18.2.1 an Obligor requests an amendment, waiver or consent or (b) consent; or 18.2.2 an amendment is required pursuant to Clause 33.9 30.10 (Change of currency), each of the Borrowers Borrower shall, within three Business Days of demand, reimburse the Agent each relevant Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent such Finance Party in responding to, evaluating, negotiating or complying with that request or requirementrequirement up to the amount agreed upfront between the such Finance Party and the Borrower.

Amendment costs. If If: (a) an An Obligor requests an amendment, waiver or consent or consent; or (b) an amendment or variation of any Finance Document is required pursuant to Clause 33.9 (Change of currency)or any release granted, each of the Borrowers shall, within three (3) Business Days of demand, reimburse the Agent or another Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent or such Finance Party in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor requests an amendment, waiver or release of, or consent or in relation to, any Transaction Document; or (b) an amendment is required to any Transaction Document pursuant to Clause 33.9 3.15 (Change of currency), each of the Borrowers Company shall, within three Business Days of demand, reimburse each of the Agent Finance Parties for the amount of all reasonable out-of-pocket actual costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent that Finance Party in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent to any Finance Document or (b) an amendment is required pursuant to Clause 33.9 33.12 (Change of currency), each of the Borrowers Obligors shall, within three Business Days of demand, reimburse the Agent Finance Parties for the amount 11/11665581 56 of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent Finance Parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) an Obligor any person other than a Finance Party requests an amendment, waiver or consent to any Finance Document or (b) an amendment is required pursuant to Clause 33.9 32.10 (Change of currency), each of the Borrowers Obligors shall, within three Business Days of demand, reimburse the Agent Finance Parties for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent Finance Parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) If: 18.2.1 an Obligor requests an amendment, waiver or consent; or 18.2.2 there is any change in law or any regulation which requires an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 (Change of currency)under the Finance Documents, each of the Borrowers Borrower shall, within three Business Days of demand, reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent that Finance Party (and by any Representative appointed by such Finance Party) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 30.9 (Change of currency), each of the Borrowers Company shall, within three Business Days of demanddemand together with supporting documentation, reimburse the Agent each Administrative Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent each Administrative Party in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor requests an amendment, waiver or consent or consent; or (b) there is any change in law or any regulation which requires an amendment is required pursuant to Clause 33.9 (Change of currency)amendment, each of waiver or consent under the Borrowers Finance Documents, the Borrower shall, within three Business Days of demandbeing provided with an invoice, reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent that Finance Party (and by any Representative appointed by such Finance Party) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor or the Parent requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause clause 33.9 (Change of currencyCurrency), each of the Borrowers Account Party shall, within three Business Days of demand, reimburse the Facility Agent, the Security Agent and any Receiver for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent any of them in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 34.9 (Change of currency), each of the Borrowers Borrower shall, within three 3 (three) Business Days of demand, reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by each Finance Party (and, in the case of the Security Agent and/or the Plateau Security SPV, by any Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) If: 18.2.1 an Obligor requests an amendment, waiver or consent; or 18.2.2 there is any change in law or any regulation which requires an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 (Change of currency)under the Finance Documents, each of 42 the Borrowers Borrower shall, within three Business Days of demand, reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent that Finance Party (and by any Representative appointed by such Finance Party) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) an Obligor the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 27.9 (Change of currency), each of the Borrowers Borrower shall, within three (3) Business Days of demand, reimburse the Agent Finance Parties for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent Finance Parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent to any Finance Document or (b) an amendment is required pursuant to Clause 33.9 33.10 (Change of currency), each of the Borrowers Obligors shall, within three Business Days of demand, reimburse the Agent Finance Parties for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent Finance Parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) an Obligor the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.9 26.9 (Change of currency), each of the Borrowers Borrower shall, within three Business Days of demand, reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by each Finance Party (and, in the Agent case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. Amendment costs. If (a) If: 17.2.1 an Obligor requests an amendment, waiver or consent or (b) consent; or 17.2.2 an amendment is required pursuant to Clause 33.9 29.10 (Change of currency), each of the Borrowers Borrower shall, within three Business Days of demand, reimburse the Agent each relevant Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent such Finance Party in responding to, evaluating, negotiating or complying with that request or requirementrequirement up to the amount agreed upfront between the such Finance Party and the Borrower.

Amendment costs. If 17.2.1 If: (a) an Obligor the Company requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 33.9 30.8 (Change of currency), each of the Borrowers Company shall, within three Business Days of demand, demand reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by that Finance Party (and, in the Agent case of the Lender, by any Representative appointed by it) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an any amendment, waiver or consent is requested by the Borrower to be made to or (b) an amendment is required pursuant to Clause 33.9 (Change of currency)under any Financing Document, each of the Borrowers Borrower shall, within three (3) Business Days of demand, reimburse the Agent each Finance Party for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselbut not limited to Professional Expenses) reasonably incurred by the Agent that Finance Party in responding to, evaluating, negotiating or complying with with, that request or requirementrequest.

Amendment costs. If (a) an Obligor requests an amendment, waiver or release of, or consent in relation to, any Finance Document or (b) an amendment is required to any Finance Document pursuant to Clause 33.9 26.6 (Change of currency), each of the Borrowers Company shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal fees of outside counselfees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.
