Common use of Amendment costs Clause in Contracts

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or (b) an amendment is required pursuant to Clause 31.10 (Change of Currency), the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security Agent for the amount of all costs and expenses (including legal fees) incurred by the COFACE Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent under any Finance Document or (b) an amendment is required pursuant to Clause 31.10 28.9 (Change of Currencycurrency), the Borrower shall, within three ten (310) Business Days of demand, reimburse the COFACE Facility Agent and or the Security Agent Agent, as appropriate, for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Facility Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 27.9 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security Agent upon presentation of Supporting Documentation for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or (b) an amendment is required pursuant to Clause 31.10 (Change of Currency), the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE BPIFAE Agent and the Security Agent for the amount of all costs and expenses (including legal fees) incurred by the COFACE BPIFAE Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consentconsent in relation to a Finance Document; or (b) an amendment is required pursuant to Clause 31.10 clause 30.9 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security each Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security that Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower an Obligor requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 29.12 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse each of the COFACE Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or (b) an amendment is required pursuant to Clause 31.10 32.10 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 41.8 (Change of Currency)currency) in each case in relation to a Finance Document, the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security Agent for the amount of all external costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 27.9 (Change of Currencycurrency), the Borrower shall, within three (3) 3 Business Days of demand, reimburse the COFACE Agent and the Security Agent Facility Agent, upon presentation of duly documented evidence thereof, for the amount of all costs and expenses (including legal fees) reasonably and directly incurred by the COFACE Facility Agent and which have previously been agreed with the Security Agent Borrower in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 clause 30.9‎ (Change of Currencycurrency), the Borrower shall, within three (3) 3 Business Days of demand, reimburse each of the COFACE Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and or the Security Agent (and, in the case of the Security Agent, any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

If: If (a) the Borrower an Obligor requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 32.10 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse each of the COFACE Agent and the Security Agent Trustee for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Agent Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: If (a) the Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 clause 30.9 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse each of the COFACE Agent and the Security Agent Secured Parties for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Secured Parties (and, in the case of the Security Agent Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or (b) an amendment is required pursuant to Clause 31.10 28.9 (Change of Currencycurrency), . the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security Agent for the amount of all costs and expenses (including legal and accounting fees) incurred by the COFACE Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or (b) an amendment is required pursuant to Clause 31.10 27.9 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security Agent for the amount of all costs and expenses (including legal and accounting fees) reasonably incurred by the COFACE Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or (b) an amendment is required pursuant to Clause 31.10 33.9 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and or the Finance Parties, or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 28.9 (Change of Currencycurrency), the Borrower shall, within three (3) 3 Business Days of demand, reimburse the COFACE Agent and the Security Agent Facility Agent, upon presentation of duly documented evidence thereof, for the amount of all costs and expenses (including legal fees) reasonably and directly incurred by the COFACE Facility Agent and which have previously been agreed with the Security Agent Borrower in responding to, evaluating, negotiating or complying with that request or requirement.
