Common use of Amendment costs Clause in Contracts

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor the Company requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 26.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including pre-legal fees of law firms approved by the Company and subject to any agreed legal feescaps) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 28.11 (Change of currency), the Company Parent (or a Borrower nominated by the Parent) shall, within five (5) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.9 (Change of currency), the Company shall, within five three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 30.9 (Change of currency), the Company shall, within five three Business Days of demand, reimburse the Facility Agent for the amount of all reasonable costs and expenses (including pre-agreed legal fees) reasonably incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirementin connection with that required amendment.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.10 (Change of currency), the Company shall, within five three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 35.10 (Change of currency), the Company Borrowers shall, within five three (3) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 33.9 (Change of currency), the Company shall, within five three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 31.9 (Change of currency), the Company each Obligor shall, within five Business Days of demand, reimburse each of the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 30.9 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent Agent, the Arranger and each Lender for the amount of all costs and expenses (including pre-agreed legal fees, but in this case, only the legal fees of one law firm in each relevant jurisdiction acting on behalf of all the Lenders) reasonably incurred by the Agent such parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 35.9 (Change of currency), the Company shall, within five Business Days of demand, reimburse the each Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the that Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 28.9 (Change of currency), the Company Parent shall, within five (5) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 (Change of currency), the Company shallshall (or shall procure that another Obligor will), within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (aA) an Obligor requests an amendment, waiver or consent or consent; or (bB) an amendment is required pursuant to Clause 28.10 clause 27.8 (Change of currency), the Company shall, within five 15 Business Days of written demand, reimburse the Facility Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 30.9 (Change of currency), the Company Borrowers shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-pre agreed legal fees) reasonably incurred and documented by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.9 (Change of currency), the Company Borrower shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-pre agreed legal fees) reasonably incurred and documented by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.9 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably and properly incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 30.9 (Change of currency), the Company Borrowers shall, within five Business Days of written demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 33.9 (Change of currency), the Company shall, within five ten Business Days upon receipt of demanda reasonably detailed invoice, reimburse the Agent for the amount of all external costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.9 (Change of currencyCurrency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirementrequest.

Amendment costs. If (a) an Obligor requests an any fundamental amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 31.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed including, but not limited to, legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (aA) an Obligor requests an amendment, waiver or consent or consent; or (bB) an amendment is required pursuant to Clause 28.10 clause 28.8 (Change of currency), the Company shall, within five fifteen Business Days of demand, reimburse the Facility Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 28.9 (Change of currency), the Company Parent shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 28.9 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 28.9 (Change of currency), the Company shall, within five Business Days of demanddemand upon presentation of a reasonably detailed statement of account, reimburse the Agent for the amount of all costs and expenses (including pre-legal fees not exceeding any agreed legal feescap plus disbursements and VAT) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 clause 31.9 (Change of currency), the Company Borrower shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 28.9 (Change of currency), the Company Borrower shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that pre-agreed request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 (Change of currency)consent, the Company shall, within five 5 Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred and documented by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 (Change of currency)consent, the Company shall, within five Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed preagreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor the Company requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 28.10 29.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Facility Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 28.10 clause 29.9 (Change of currency), the Company shall, within five 5 Business Days of demand, reimburse the Agent and the Security Agent (and any Receiver or Delegate) for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent and the Security Agent (and any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor the Company requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 28.9 (Change of currency), the Company shall, within five (5) Business Days of demand, reimburse the Agent for the amount of all external costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 ‎34.9 (Change of currency), the Company shall, within five Business Days of demanddemand upon presentation of a reasonably detailed statement of account, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 32.9 (Change of currencyCurrency), the Company shall, within five 20 Business Days of demand, reimburse (or procure reimbursement of) each of the Administrative Agent and the Security Trustee for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Administrative Agent and the Security Trustee in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 (Change of currency), the Company Parent shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably and properly incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.9 (Change of currencyCurrency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 28.10 6 (Change of currencyCurrency), the Company shall, within five three (3) Business Days of demand, reimburse the Documentation Agent, the Facility Agent and the Security Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Facility Agent or the Security Agent, as the case may be, in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.9 (Change of currency), the Company Parent shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.9 (Change of currency), the Company Borrowers shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-pre agreed legal fees) reasonably incurred and documented by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 30.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all reasonably documented costs and expenses (including pre-legal fees which have been agreed legal feeswith the Company prior to being incurred) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 31.9 (Change of currency), the Company Obligor’s Agent shall, within five ten Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 31.9 (Change of currency), the Company shall, within five Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 27.9 (Change of currency), the Company Borrower shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (aA) an Obligor requests an amendment, waiver or consent or consent; or (bB) an amendment is required pursuant to Clause 28.10 34.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement, in each case provided that the Company has approved the fee arrangements of any professional advisers involved.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 26.10 (Change of currency), the Company Obligors shall, within five Business Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including pre-legal fees of law firms approved by the Company and subject to any agreed legal feescaps) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (aA) an Obligor requests an amendment, waiver or consent or consent; or (bB) an amendment is required pursuant to Clause 28.10 clause 27.8 (Change of currency), the Company shall, within five 15 Business Days of written demand, reimburse the Facility Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent Facility Agent, the Security Agent, any Receiver and/or any Delegate in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (aA) an Obligor requests an amendment, waiver or consent or consent; or (bB) an amendment is required pursuant to Clause 28.10 21.5 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including pre-agreed legal fees, subject to a cap if so agreed) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating negotiating, or complying with or implementing that request request, or requirementrequirement or actual or contemplated agreement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 30.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.9 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirementrequest.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 32.10 (Change of currency), the Company shall, within five three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 34.9 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent upon presentation of reasonably detailed and supporting documents, for the amount of all out of pocket costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirementrequirement up to any maximum aggregate amount which has been agreed in advance by the Company and the Agent in respect of each such amendment, waiver or consent.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent consent, or (b) an amendment is required pursuant to Clause 28.10 29.9 (Change of currencyCurrency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirementrequest.

Amendment costs. If If: (aA) an Obligor requests an amendment, waiver or consent or consent; or (bB) an amendment is required pursuant to Clause 28.10 31.10 (Change of currency), the Parent Company shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 36.9 (Change of currency), the Parent Company shall, within five Business Days of demand, reimburse the each Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the that Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 35.9 (Change of currency), the Parent Company shall, within five Business Days of demand, reimburse the each Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the that Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) If: 18.2.1 an Obligor requests an amendment, waiver or consent or (b) consent; or 18.2.2 an amendment is required pursuant to Clause 28.10 30.10 (Change of currencyCurrency), the Company shall, within five three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 33.9 (Change of currency), the Company each Obligor shall, within five Business Days of demand, reimburse each of the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 28.9 (Change of currency), the Company Borrower shall, within five Business Days of demand, reimburse each of the Calculation Agent, the Facility Agent, the Security Agent and the Lenders for the amount of all costs and expenses (including pre-agreed legal fees) reasonably properly incurred by the Agent it in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 30.9 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent and other Finance Parties for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by or for the account of the Agent and other Finance Parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including pre-legal fees of law firms approved by the Company and subject to any agreed legal feescaps) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 31.9 (Change of currency), the Company Parent shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably properly incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 28.9 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) If: 20.2.1 an Obligor requests an amendment, waiver or consent or (b) consent; or 20.2.2 an amendment is required pursuant to Clause 28.10 30.6 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including pre-legal fees and subject to any agreed legal feescaps) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.10 29.10 (Change of currency), the Company shall, within five Business Days of demand, reimburse the Facility Agent for the amount of all reasonable costs and expenses (including pre-agreed legal fees) reasonably incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirementrequest.
