Common use of Amendment costs Clause in Contracts

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and out-of-pocket expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 30.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Facility Agent for the amount of all reasonable costs and expenses (including legal fees) reasonably incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirementin connection with that required amendment.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.10 (Change of currency), the Borrower shallCompany shall (or shall ensure that an Obligor will), within three Business Days of demand, reimburse the Facility Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 33.9 (Change of currency), each of the Borrower Borrowers shall, within three Business Days of demand, reimburse the Agent for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal feesfees of outside counsel) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.10 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 35.10 (Change of currency), the Borrower Borrowers shall, within three (3) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency)consent, the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 30.10 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 clause 34.10 (Change of currency), the Borrower Company shall, within three 3 Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency)consent, the Borrower shall, within three (3) Business Days of demand, reimburse the each Agent for the amount of all reasonable and documented costs (excluding the cost of management time of the Agent or the Lenders’ employees) and out-of-pocket expenses (including any reasonable and documented costs and expenses (including of external legal feescounsel) reasonably incurred by the each Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (ai) the Borrower an Obligor requests an amendment, waiver or consent or (bii) an amendment is required pursuant to Clause 27.9 30.10 (Change of currency), the Borrower Borrowers shall, within three (3) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including including, but not limited to, internal and external legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (aA) the Borrower requests an amendment, waiver or consent or (bB) an amendment is required pursuant to Clause 27.9 25.6 (Change of currencyCurrency), the Borrower shall, within three (3) Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 32.10 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Administrative Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Administrative Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.8 (Change of currency), the Borrower Guarantor shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 26.6 (Change of currencyCurrency), the Borrower shall, within three (3) Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Facility Agent for the amount of all reasonable costs and expenses (including legal fees) reasonably incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirementin connection with that required amendment.

Amendment costs. If If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent upon presentation of Supporting Documentation for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (If: a) the Borrower an Obligor requests an amendment, waiver or consent or (consent; or b) an amendment is required pursuant to Clause 27.9 32.10 (Change of currency), the Borrower Obligors shall, within three (3) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 27.7 (Change of currency), the Borrower each Obligor shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all reasonable documented costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency), the Borrower shall, within three 3 Business Days of demand, reimburse the Agent Facility Agent, upon presentation of duly documented evidence thereof, for the amount of all costs and expenses (including legal fees) reasonably and directly incurred by the Facility Agent and which have previously been agreed with the Borrower in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower Company requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 25.8 (Change of currency), the Borrower shall, within three Business Days one Month of demand, reimburse the Agent for the amount of all reasonable third party costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement, in each case subject to any applicable agreed cap.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.10 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Agent (and in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.10 (Change of currency), the Borrower Obligors’ Agent shall, within three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (aA) the Borrower an Obligor requests an amendment, waiver or consent or consent; or (bB) an amendment is required pursuant to Clause 27.9 31.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 30.9 (Change of currency), the Borrower shall, within three (3) Business Days of demand, reimburse the each Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent it in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 37.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including reasonable legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower requests an amendment, waiver or consent or in relation to a Finance Document; or (b) an amendment is required pursuant to Clause 27.9 clause 30.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the each Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the that Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 22.6 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.12 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

If (ai) the Borrower an Obligor requests an amendment, waiver or consent or (bii) an amendment is required pursuant to Clause 27.9 31.10 (Change of currency), the Borrower shall, within three (3) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including including, but not limited to, internal and external legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent Agent, the Arranger and each Lender for the amount of all costs and expenses (including legal fees, but in this case, only the legal fees of one law firm in each relevant jurisdiction acting on behalf of all the Lenders) reasonably incurred by the Agent such parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 41.8 (Change of currency)) in each case in relation to a Finance Document, the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all external costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 30.10 (Change of currency), the Borrower shall, within three (3) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (aA) the Borrower it requests an amendment, waiver or consent or consent; or (bB) an amendment is required pursuant to Clause 27.9 27.10 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If If: (a) the Borrower requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 31.10 (Change of currency), the Borrower shall, within three (3) Business Days of demand, reimburse the Facility Agent for the amount of all costs and expenses (including including, but not limited to, reasonable legal fees) reasonably incurred by the Facility Agent or the Finance Parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 33.9 (Change of currency), the Original Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 clause 28.9 (Change of currency), the Borrower shall, within three Business Banking Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.11 (Change of currency), the Borrower shall, within three Business Banking Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.12 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 26.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 clause 30.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 clause 33 (Change of currency), the Borrower shall, within three 3 Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent it in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 ‎33.9 (Change of currency), each of the Borrower Borrowers shall, within three Business Days of demand, reimburse the Agent for the amount of all reasonable out-of-pocket costs and expenses (including reasonable legal feesfees of outside counsel) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.9 (Change of currency), the Borrower an Obligor shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 clause 30.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse each of the Agent and the Secured Parties for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Secured Parties (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.10 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 29.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Facility Agent for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 27.10 (Change of currency), the Borrower shall, within three (3) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 28.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower If: an Obligor requests an amendment, waiver or consent consent; or (b) an amendment is required pursuant to Clause 27.9 27.11 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 24.6 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 ‎25.8 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 24.9 (Change of currency), the Borrower shall, within three Business Days (3) business days of demand, reimburse the Facility Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (aA) the Borrower an Obligor requests an amendment, waiver or consent or (bB) an amendment is required pursuant to Clause 27.9 23.6 (Change of currency), the Borrower shall, within three (3) Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender (and by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 27.10 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including including, amongst others, legal or notarial, if applicable, fees) reasonably and properly incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 29.10 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the a Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 27.8 (Change of currency), the that Borrower shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including including, but not limited to, legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) the a Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.9 (Change of currency), the Borrower Principal Company shall, within three (3) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 31.9 (Change of currency), the Borrower Borrowers shall, within three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 32.10 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees, subject to a separately agreed cap) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 22.7 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or required in relation to any Finance Document or (b) an amendment is required pursuant to Clause 27.9 (Change of currency), the Borrower shall, within three seven (7) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 30.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 15.10 (Change of currency), the Borrower Company shall, within three Business Days of demand, and having been provided with reasonable evidence of such, reimburse the Facility Agent for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 ‎27.9 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent Transaction Agents for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Transaction Agents (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 31.9 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) If: 16.2.1 the Borrower requests an amendment, waiver or consent or (b) consent; or 16.2.2 an amendment is required pursuant to Clause 27.9 26.9 (Change of currency), the Borrower shall, within three ten Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 32.10 (Change of currency), the Borrower Company shall, within three 3 Business Days of demand, reimburse the Agent for the amount of all properly documented third party costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency), the Borrower shall, within three 3 Business Days of demand, reimburse the Agent Facility Agent, upon presentation of duly documented evidence thereof, for the amount of all costs and expenses (including legal fees) reasonably and directly incurred by the Facility Agent and which have previously been agreed with the Borrower in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 28.9 (Change of currency), the Borrower shall, within three (3) Business Days of demand, reimburse the each Transaction Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the that Transaction Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 26.7 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Borrower any Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 (Change of currency), the Borrower shall, within three 10 Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 30.10 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.. Amendment costs. If (a) the Borrower an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 27.9 26.7 (Change of currency), the Borrower Company shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 clause 22.5 (Change of currency), the Borrower shall, within three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal feesfees and fees of the Valuer) reasonably incurred by the Agent Lender in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) the Borrower requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 27.9 28.9 (Change of currency), . the Borrower shall, within three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal and accounting fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.
