Amendment Certificates Sample Clauses
Amendment Certificates. Upon submission of the Project Budget/Schedule Amendment Certificate to the Disbursement Agent, together with all exhibits, attachments and certificates required pursuant thereto, each duly completed and executed, such amendment shall become effective hereunder, and the Project Budget for the Project and, if applicable, the Project Schedule and the Scheduled Completion Date, shall thereafter be as so amended.
Amendment Certificates. Upon submission of the Project Budget/Schedule Amendment Certificate to the Disbursement Agent, together with all exhibits, attachments and certificates required pursuant thereto, each duly completed and executed, such amendment shall become effective hereunder, and the Project Budget for the applicable Active Project and, if applicable, the Project Schedule (and, as specified in such Project Schedule, the Anticipated Opening Date (if any), the Anticipated Completion Date, the Outside Opening Deadline (if any), and the Outside Completion Deadline for such Project), shall thereafter be as so amended.
Amendment Certificates. At the time any amendment is made to, or any waiver or consent is provided under, this Agreement, a certificate signed by the Chief Financial Officer or Chief Executive Officer of the Borrower and Holdings, respectively, to the effect that the representations and warranties of each Credit Party contained in this Agreement and the other Mezzanine Transaction Documents are true and correct in all material respects on and as of the date of such certificate, as though made on such date (except to the extent that such representations and warranties relate solely to an earlier date).
Amendment Certificates. Upon submission of a duly executed Project Schedule Amendment Certificate for the Phase II Project to the Disbursement Agent, together with all appendices required pursuant thereto, such amendment shall become effective hereunder, and the Phase II Project Budget and, if applicable, the Phase II Project Schedule and the Phase II Scheduled Opening Date or Phase II Scheduled Completion Date, as the case may be, shall thereafter be as so amended.
Amendment Certificates. Subject to the terms of Section 5.4, upon the full execution and delivery of the Construction Budget Amendment Certificate by the Borrower and the Administrative Agent, together with all exhibits, attachments and certificates required pursuant thereto, each duly completed and executed, such amendment shall become effective hereunder, and the Construction Budget and, if applicable, the Construction Timetable and the Scheduled Opening Date shall thereafter be as so amended.
