Common use of ALTERNATE TRANSACTION Clause in Contracts

ALTERNATE TRANSACTION. In the event that the REIT determines that a structure change is necessary, advisable or desirable, the REIT may elect, in its sole and absolute discretion, to effect the Alternate Transaction, without the need for the REIT to seek any further consent or action from any Contributor, and each Contributor shall, and it shall cause its stockholders, members or partners, as applicable, and Subsidiaries to, enter into such agreements as shall be necessary to consummate the Alternate Transaction; provided that the tax treatment of the Contribution Consideration to the Contributors results in equal or lower taxation.
