Allowable Disclosures. Notwithstanding anything to the contrary in this Agreement or elsewhere, nothing shall prohibit the Executive from reporting violations or possible violations of law or regulation to a governmental agency or other entity, including but not limited to the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority, the U.S. Commodity Futures Trading Commission, the U.S. Consumer Financial Protection Bureau, the U.S. Department of Justice, the U.S. Congress, any agency Inspector General, the U.S. Equal Employment Opportunity Commission or the U.S. National Labor Relations Board (the “Government Agencies”), and the Executive shall not be required to provide notification to, or receive prior approval from, the Company regarding any such report. The Executive further understands that this Agreement does not limit his ability to communicate with any Government Agencies or otherwise participate in any investigation or proceeding that may be conducted by any Government Agency, including providing documents or other information, without notice to the Company. Furthermore, this Agreement does not limit the Executive’s right to receive an award for information provided to any Government Agencies. Notwithstanding the foregoing, nothing herein shall constitute a waiver by the Company of the attorney-client privilege, the attorney work-product doctrine, or applicable company policy.
