Agreements Effective. Attached hereto as Exhibit A is a true, complete and accurate copy of the Lease. The Lease has been duly executed and delivered by Tenant and is in full force and effect, the obligations of Tenant thereunder are valid and binding, and there have been no modifications or additions to the Lease, written or oral, other than those, if any, which are attached on Exhibit A attached hereto and made a part hereof. There are no other promises, agreements, understandings or commitments between Landlord and Tenant relating to the Property, and Tenant has not given Landlord any notice of termination under the Lease.
Agreements Effective. Attached hereto as Exhibit A-1 is a true, complete and accurate copy of the Lease. Attached hereto as Exhibit A-2 is a true, complete and accurate copy of the Guaranty. The Agreements have been duly executed and delivered by Tenant and are in full force and effect, the obligations of Tenant thereunder are valid and binding, and there have been no modifications or additions to the Agreements, written or oral, other than those, if any, which are attached on Exhibit A-1 and Exhibit A-2 attached hereto and made a part hereof. There are no other promises, agreements, understandings or commitments between Landlord and Tenant relating to the Property, and Tenant has not given Landlord any notice of termination under the Lease.
Agreements Effective. This Agreement, the Revolving Credit Notes, the Swing Line Note and each of the other Loan Documents shall be effective;

Each of the Shareholders' Agreement, the Transmission Agreements, the NTL Site Sharing Agreement, the Contract for Services, the Subordinated Loan Agreement and the Inter-Company Loan Agreement is in full force and effect, and the Bonds and any guarantees given by any person in respect of CT Finance's obligations under the Bonds are binding obligations.

Each of the Share Sale Agreement, the Shareholders Agreement, the Transmission Agreement and the Contracts for Services has been duly executed by all parties and is in full force and effect, each of the NTL Site Sharing Agreement and the Transfer Scheme is in full force and effect, and the Bonds and any guarantees given by any person in respect of CT Finance's obligations under the Bonds are binding obligations.
Agreements Effective. Each New CAB Executive Employment Agreement and the Acknowledgement Agreement shall be in full force and effect as of the Closing. CAB will furnish OFFC with such certificates of its officers or others and such other documents to evidence fulfillment of the conditions set forth in this Section 9.2 as OFFC may reasonably request.
