Agreements; Affiliated and Extraordinary Transactions. Attached as Schedule E hereto is a list of all material agreements (including all amendments thereto), oral or written, other than the Leases to which the Transferor Company is a party or to which any agent of the Transferor Company is a party on behalf of the Transferor Company or has entered into on behalf of the Transferor Company, relating to the Transferor Company or all or a portion of the Property or otherwise affecting the Property, including without limitation, all material management, maintenance, brokerage, supply and service contracts (collectively "Service Contracts") and any material contract agreement or other arrangement providing for the employment of, furnishing of services by, rental of real or personal property from or otherwise requiring payments to or by the Transferor Company. Except as noted on Schedule E, each Service Contract is cancelable on thirty (30) days notice. Transferor Company has no knowledge of any material breach or material default under any Service Contract. As of Closing, the Transferor Company will have paid all amounts due under each Service Contract, other than payments for which an adjustment shall be made pursuant to Section 12 hereof.
