Common use of Agreement to Sell and to Purchase Clause in Contracts

Agreement to Sell and to Purchase. On the Closing Date (as defined below) and upon the terms and subject to the conditions set forth in this Agreement, the Company shall issue, sell, and deliver the New Preferred Shares and the Warrant to Buyer, and Buyer shall purchase and accept the New Preferred Shares and the Warrant from the Company.

Agreement to Sell and to Purchase.
