Common use of Agreement Assignment Clause in Contracts

Agreement Assignment. You may not assign your rights or obligations under this Agreement without the prior express written consent of Graybridge. Graybridge shall not assign (within the meaning of the Advisers Act) its rights or obligations under this Agreement without your consent, provided however that you will be deemed to have consented to an assignment if you do not object to such assignment within 30 calendar days of being notified through the Platform or by email of any intent of Graybridge to assign such rights or obligations. You further agree that any reorganization, restructuring, or other transaction affecting the ownership of Graybridge will not be deemed to be an assignment (within the meaning of the Advisers Act) of this Agreement, so long as such reorganization, restructuring, or transaction does not result in a change of actual control or management.
