Common use of Agent’s Management Time Clause in Contracts

Agent’s Management Time. Any amount payable to an Agent under Clause 21.3 (Indemnity to the Facility Agent), Clause 23 (Costs and expenses) and Clause 32.10 (Lenders' indemnity to the Agent) shall include the cost of utilising the Agent's extraordinary management time or other extraordinary resources not contemplated at the date of this Agreement (in connection with any Default, any request for or granting of a waiver or consent, or amendment to a Finance Document or the preservation or enforcement of any right arising under the Finance Documents) and will be calculated on the basis of such reasonable daily or hourly rates as the Agent may notify to the Company and the Lenders, and is in addition to any fee paid or payable to the Agent under Clause 18 (Fees).
