Common use of Agent Appointed Attorney-in-Fact Clause in Contracts

Agent Appointed Attorney-in-Fact. (a) The Pledgor hereby appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or desirable to accomplish the purposes of this Agreement, including, without limitation, to receive, endorse and collect all instruments made payable to the Pledgor representing any dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. (a) The Pledgor hereby appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or desirable advisable to accomplish the purposes of this AgreementAgreement (subject to the rights of the Pledgor under Section 6), including, without limitation, to receive, endorse indorse and collect all instruments made payable to the Pledgor representing any dividend, interest payment dividend or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. (a) The Pledgor hereby appoints the Agent as the Pledgor's ’s attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time when an Event of Default exists in the Agent's ’s discretion to take any action and to execute any instrument which the Agent may deem necessary or desirable advisable to accomplish the purposes of this Agreement, including, without limitation, to receive, endorse indorse and collect all instruments made payable to the Pledgor representing any dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. (a) The Pledgor hereby irrevocably appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion reasonably exercised, to take any action and to execute any instrument which that the Agent may deem deems reasonably necessary or desirable advisable to accomplish the purposes of this Pledge Agreement, including, without limitation, to receive, endorse and collect all instruments made payable to the Pledgor representing any dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same, when and to the extent permitted by this Pledge Agreement.

Agent Appointed Attorney-in-Fact. Agent Appointed Attorney-in-Fact. (a) The Pledgor hereby appoints the Agent as the Pledgor's his attorney-in-fact, with full authority in the place and stead of the Pledgor and authority, in the name of the Pledgor or otherwise, after the occurrence of an Event of Default, from time to time in the Agent's discretion sole discretion, to take any action and to execute any instrument which the Agent may deem necessary or desirable advisable to accomplish the purposes of this Pledge Agreement, including, without limitation, to receive, endorse and collect all instruments made payable to the Pledgor representing any dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the samesame and to arrange for the transfer of all or any part of the Pledged Collateral on the books of the Corporation to the name of the Agent or the Agent's nominee.

Agent Appointed Attorney-in-Fact. (a) The Pledgor hereby appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or desirable to accomplish the purposes of this Agreement, including, without limitation, to receive, endorse and collect all instruments made payable to the Pledgor representing any dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. (a) The Pledgor hereby appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time time, upon and during the continuance of an Event of Default, in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or desirable advisable to accomplish the purposes of this Agreement, including, without limitation, to receive, endorse indorse and collect all instruments made payable to the Pledgor representing any dividend, interest payment dividend or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. (a) The Pledgor hereby appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion following Maturity to take any action and to execute any instrument which the Agent may deem necessary or desirable advisable to accomplish the purposes of this Agreement, including, without limitation, to receive, endorse and collect all instruments made payable to the Pledgor representing any dividenddistribution, interest payment or other dividend distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same. This power of attorney created under this paragraph 18, being coupled with an interest, shall be irrevocable for the term of this Agreement.

(a) The Pledgor hereby irrevocably appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or desirable advisable to accomplish the purposes of this Agreement, including, without limitation, to receive, endorse indorse and collect all instruments made payable to the Pledgor representing any dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the samesame and to sell and transfer the Pledged Collateral.

(a) The Pledgor hereby irrevocably appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or desirable advisable to accomplish the purposes of this Agreement, including, without limitationlimitation (but subject to Section 5.01(a)), to receive, endorse indorse and collect all instruments made payable to the Pledgor representing any dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. (a) The Pledgor hereby irrevocably appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the its name of the Pledgor or otherwise, from time to time in the Agent's discretion discretion, to take any action and to execute any instrument which that the Agent may deem reasonably necessary or desirable advisable to accomplish the purposes of this Agreement, including, without limitation, to receive, endorse and collect all instruments instruments, certificates made payable to the Pledgor representing any dividend, interest payment, payment of residual interests or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same, when and to the extent permitted by this Agreement.

Agent Appointed Attorney-in-Fact. (a) The Pledgor Pledgors hereby appoints appoint the Agent as the Pledgor's Pledgors’ attorney-in-fact, with full authority in the place and stead of the Pledgor of, and in the name of of, the Pledgor Pledgors or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or desirable to accomplish the purposes of this Agreement, including, without limitation, to receive, endorse and collect all instruments made payable to the Pledgor Pledgors representing any dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.
