The Agent Access clause defines the rights and procedures for an agent to enter or access a property or premises. Agent Access. Permit Agent, by Agent’s representatives and agents, to enter any premises where all or any part of the Collateral, or the books and records relating thereto, or both, are located, to take possession of all or any part of the Collateral and to remove all or any part of the Collateral.

Prior to the Closing Date, Merchant shall have provided Agent reasonable access to all pricing and cost files, computer hardware, software and data files, inter-Store transfer logs, markdown schedules, invoices, style runs and all other documents relative to the price, mix and quantities of inventory located at the Stores.
Agent Access. (i) Without limiting the Lender Parties’ rights under the Credit Agreement and the other Loan Documents, Borrowers and the other Loan Parties hereby agree to: (A) give Agent and its Representatives reasonable access during normal business hours to the offices, properties, officers, employees, accountants, auditors, counsel and other representatives, books and records of Borrowers and the other Loan Parties, (B) furnish to Agent and its Representatives such financial, operating and property related data and other information as such persons reasonably request, and (C) instruct Borrowers’ and any other Loan Party’s employees and Company Financial Advisors to cooperate reasonably with Agent and its Representatives in respect of the aforementioned clauses (A) and (B)).
(ii) Each Borrower and each other Loan Party irrevocably authorizes, and shall cause, any financial advisors, consultants or investment bankers which are representing any or all of the Loan Parties, including, without limitation, ▇▇▇▇▇▇ Buckfire & Co., LLC (collectively, the “Company Financial Advisors”), to: (A) disclose fully and promptly to Agent and its Representatives all material developments in connection with the efforts of Borrowers and Company Financial Advisors to consummate a Restructuring and/or a Refinancing, (B) regularly consult with, and respond to the inquiries of the Lender Parties and their respective Representatives concerning any and all matters relating to the affairs, finances and businesses of Borrowers or any other Loan Party, the assets and Equity Interests of Borrowers or any other Loan Party, any aspect of a Restructuring and/or Company Financial Advisors’ activities related thereto (including, without limitation, communications outside the presence of any Representatives of Borrowers or any other Loan Party), and (C) provide Agent, Lenders and their respective Representatives copies of all non-confidential reports, analyses, materials (including, without limitation, any and all non-confidential memoranda or other work product provided by Company Financial Advisors to any or all of Borrowers, any other Loan Party, Lender Parties and their respective Representatives).
Agent Access. (a) Certain information provided within American’s Group travel website is password protected. Agent shall update and maintain all travel agency profile information together with processes and procedures to designate authorized users, maintain a list of authorized users on behalf of the travel agency, and reset respective passwords. All Agent users are required to maintain the security of their passwords and are not authorized to grant access to third parties, and Agent shall be responsible for compliance by all users with such access requirements and restrictions.
(b) Agent shall take immediate measures to notify American of any unauthorized or suspected unauthorized access to American’s Group travel website. Agent shall protect all passwords using security measures no less stringent than those with respect to which travel agency treats its own confidential information, but in any event, with no less than reasonable care.
(c) Agent shall be liable for any activities undertaken when using its sign-on and password information.
(d) American has the right to terminate log-in access at its sole discretion without notice.
