AFFIRMATIVE COVENANTS OF THE INVESTORS. Subject to Section 5.3, the Investors covenants and agrees with the Corporation that it will use its reasonable best efforts to comply with, satisfy and fulfill promptly all prerequisites, conditions and requirements imposed by or arising out of legal, regulatory and administrative requirements applicable to the Investors with respect to the consummation of the transactions contemplated hereby, including, without limiting the generality of the foregoing, (i) filing or causing to be filed all documents, certificates, opinions, forms or undertakings required to be filed by the Investors in connection with the acquisition by the Investors of the Initial Shares and the issuance of the Initial Shares, and (ii) obtaining all necessary legal, regulatory and administrative approvals, consents, authorizations, rulings, orders and permits.
