Common use of Adverse Judgments Clause in Contracts

Adverse Judgments. There are no judgments or outstanding orders, injunctions, decrees, stipulations or awards (whether rendered by a Governmental Authority or by an arbitrator) against Seller (or affecting any of the Property) that prohibit or restrict or could reasonably be expected to result in any material delay of the consummation of the transactions contemplated by this Agreement or the Ancillary Agreements.

Adverse Judgments. There are no judgments or outstanding orders, injunctions, decrees, stipulations or awards (whether rendered by a Governmental Authority or by an arbitrator) against Seller (or affecting against any of the Property) ), excluding any ex parte action where no written notice has been provided to Seller and with respect to which Seller does not otherwise have Seller's Knowledge, that prohibit or restrict restrict, or could reasonably be expected to result in any material delay of of, the consummation of the transactions contemplated by this Agreement or the Ancillary Agreements.
