Common use of Adverse Consequences Clause in Contracts

Adverse Consequences. Adverse Consequences" means any liabilities or compensatory damages, natural resource damages, penalties, costs and fines, including reasonable attorney's fees, but excluding: (a) consequential, special or incidental damages (such as loss of profits, loss of business opportunity, loss of use. diminution in value of any property, or business interruption); and (b) any attorney's 103 or consultant's fees or other costs incurred by an indemnitee for any matter in which the indemnitor has in good faith accepted its defense and indemnity obligations.

Adverse Consequences means any cost, loss, Liability, obligation, amounts paid in settlement, claim, cause of action, damage, deficiency, expense, Taxes, fine, penalty, judgment, award or assessment, including court costs and reasonable attorneys’ fees and expenses; provided that “Adverse Consequences" means any liabilities ” does not include special, incidental, consequential, punitive or compensatory indirect damages, natural resource damages, penalties, costs except to the extent sought against and fines, including reasonable attorney's fees, but excluding: (a) consequential, special or incidental damages (such as loss of profits, loss of business opportunity, loss of use. diminution in value of any property, or business interruption); and (b) any attorney's 103 or consultant's fees or other costs incurred awarded to a Potential Indemnitee by an indemnitee for any matter in which the indemnitor has in good faith accepted its defense and indemnity obligationsa third party.
