Administrator Services. Custodian services
Administrator Services. If Client is an institutional fund, REIT or private investment fund (collectively, the “Pool”)”, the Investment Management Company may choose in its sole discretion to serve as the Client’s Administrator (the "Administrator"). The Administrator will be responsible for, among other things:
(a) maintaining the register of the Pool and generally performing all actions related to the transfer and withdrawals of the Client’s member or partners;
(b) reviewing and, subject to approval by the Client, accepting or rejecting subscriptions and accepting payment therefore;
(c) computing and disseminating the net asset value of the Pool and the value of each member or partner’s capital account in accordance with the Client's operating or limited partnership agreement;
(d) keeping the accounts of the Pool and such financial books and records as are required by law or otherwise for the proper conduct of the financial affairs of the Client, and assisting with or procuring the preparation of annual financial statements of the Client and furnishing such statements, as well as monthly, quarterly or annual net asset value reports, to members or partners;
(e) communicating with the Pool’s general partners or managing members; and
(f) performing all other accounting and clerical services necessary in connection with the administration of the Pool. The Administrator and its directors, officers, employees, agents, servants, delegates and affiliates assume no liability for errors in administrative services and have broad indemnification except for those actions, liabilities and expenses resulting from gross negligence, willful default or fraud on the part of the Administrator or its directors, officers, employees, agents, servants, delegates or affiliates.
Administrator Services. Subject to the Board’s revision of duties of the Administrator, which may be transferred to the Executive Director in the Board’s discretion, the Administrator shall perform all services reasonably necessary for the management and administration of the Authority including, but not limited to:
(a) coordinating the planning, design, permitting (including compliance monitoring), operations modeling and analysis, and procurement activities necessary to construct and operate the Project, including through funds provided by the Early Funding Agreement, which CCWD shall continue to manage as the initial Administrator, and Interim Funding Agreement;
(b) coordinating and preparing for Board meetings;
(c) identifying and selecting key staff that will provide services to the Board and the Authority, including staff who may potentially serve as Secretary and Treasurer and Auditor/Controller, as the Board or Administrator may determine;
(d) being responsible for the appointment, employment, management, and/or termination of any personnel (other than the Executive Director and Authority Attorney), contractors, or consultants providing services to the Authority including, but not limited to, contractors and consultants necessary for the planning, design, permitting and procurement of the Project;
(e) performing administrative tasks related to the Board’s selection and appointment of the Executive Director and Authority attorney;
(f) implementing the policies, decisions, and directions of the Board, as provided to the Administrator;
(g) conducting communications and outreach support and website hosting;
(h) coordinating and conferring with the Members’ technical staffs relative to Project-related functions; and
(i) such other duties as are determined by and assigned by the Board.
Administrator Services. A. ADMINISTRATOR shall perform professional services, as outlined in the Exhibit A, to the DISTRICTS regarding business administration and management of the DISTRICTS
B. ADMINISTRATOR's services are defined solely by this Contract and its attachment and not by any other contract or agreement that may be associated with this project.
C. The ADMINISTRATOR'S services shall be performed as expeditiously as is consistent with professional skill and the orderly progress of work.
D. This contract is for a period of two years.
Administrator Services. HealthStream will provide access to management services that provide up to two (2) Participant-designated system Administrators with access to reports that document the enrollment in and completion of Selected Courseware by Students.
Administrator Services. The Administrator will:
(a) Provide Internet access to PFPC DataPathSM (“DataPathSM”) at ▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ or other site operated by the Administrator (the “Site”) for Company portfolio data otherwise supplied by the Administrator to Company service providers via other electronic and manual methods. Types of information to be provided on the Site include: (i) data relating to portfolio securities, (ii) general ledger balances and (iii) net asset value-related data, including NAV and net asset, distribution and yield detail (collectively, the “Accounting Services”).
(b) Supply each of the Authorized Individuals specified on Exhibit Z as permissible users of DataPathSM (the “Users”) with a logon ID and Password;
(c) Provide to Users access to the information listed in (a) above using standard inquiry tools and reports. With respect to the Accounting Services, Users will be able to modify standard inquiries to develop user-defined inquiry tools; however, the Administrator will review computer costs for running user-defined inquiries and may assess surcharges for those requiring excessive hardware resources. In addition, costs for developing custom reports or enhancements will be billed separately to and payable by the Company.
(d) Utilize a form of encryption that is generally available to the public in the U.S. for standard Internet browsers and establish, monitor and verify firewalls and other security features (commercially reasonable for this type of information and these types of users) and exercise commercially reasonable efforts to attempt to maintain the security and integrity of the Site; and
(e) Monitor the telephone lines involved in providing the Accounting Services and inform the Company promptly of any malfunctions or service interruptions.
