Common use of Administrative Procedures for Book-Entry Notes Clause in Contracts

Administrative Procedures for Book-Entry Notes. In connection with the qualification of the Book-Entry Notes for eligibility in the book-entry system maintained by DTC, BONY and Bank One (together, the "DTC Agents") will perform the custodial, document control and administrative functions described below for the Senior Notes and the Subordinated Notes, respectively. BONY will perform such functions in accordance with its respective obligations under a Letter of Representations from the Company and BONY to DTC dated as of the date hereof and a Medium-Term Note Certificate Agreement between BONY and DTC, dated as of August 17, 1989 and as amended to date, and its obligations as a participant in DTC, including DTC's Same-Day Funds Settlement system ("SDFS"). Bank One will perform such functions in accordance with its respective obligations under a Letter of Representations from the Company and Bank One to DTC dated as of the date hereof and a Medium-Term Note Certificate Agreement between DTC and Bank One, dated as of May 26, 1989, and as amended to date, and its obligations as a participant in DTC, including DTC's SDFS.
