Common use of Administrative Agent Consent Clause in Contracts

Administrative Agent Consent. The Administrative Agent hereby agrees, for purposes of Section 2.27(c) of the Credit Agreement, and without prejudice to or affecting Section 6 hereof, that (a) the amendments to the Credit Agreement and the other Loan Documents contained herein are necessary or appropriate to effect the provisions of Section 2.27 of the Credit Agreement, and (b) each 2014 Incremental Term Lender which is not a Lender, an affiliate of a Lender or a Related Fund has been consented to by the Administrative Agent.

Administrative Agent Consent. The Administrative Agent hereby agrees, for purposes of Section 2.27(c) 2.14 of the Credit Agreement, and without prejudice to or affecting Section 6 8 hereof, that (a) the amendments terms of the Tranche A-1 Term Loans provided in this Amendment and the Credit Agreement, to the extent that such terms differ from those provided for Term A Loans in the Credit Agreement and the other Loan Documents contained herein Documents, are necessary or appropriate reasonably acceptable to effect the provisions of Section 2.27 of the Credit Agreement, Administrative Agent and (b) each 2014 Incremental Tranche A-1 Term Lender which is not a Lender, an affiliate of a Lender or a Related Fund has been approved and consented to by the Administrative Agent.

The Administrative Agent hereby agrees, for purposes of Section 2.27(c) 2.14 of the Credit Agreement, and without prejudice to or affecting Section 6 9 hereof, that (a) the amendments terms of the Tranche B-5 Term Loans provided in this Amendment and the Credit Agreement, to the extent that such terms differ from those provided for Term Loans in the Credit Agreement and the other Loan Documents contained herein Documents, are necessary or appropriate reasonably acceptable to effect the provisions of Section 2.27 of the Credit Agreement, Administrative Agent and (b) each 2014 Incremental Tranche B-5 Term Lender which is not a Lender, an affiliate Affiliate of a Lender or a Related an Approved Fund has been approved and consented to by the Administrative Agent.

The Administrative Agent hereby agrees, for purposes of Section 2.27(c) 2.14 of the Credit Agreement, and without prejudice to or affecting Section 6 9 hereof, that (ai) any of the amendments terms of the New Term Loans provided in this Incremental Amendment, to the Credit Agreement and extent such terms differ from those provided for Term Loans in the other Loan Documents contained herein Documents, are necessary or appropriate reasonably acceptable to effect the provisions of Section 2.27 of the Credit Agreement, Administrative Agent and (bii) each 2014 Incremental New Term Lender which is not a Lender, an affiliate Affiliate of a Lender or a Related an Approved Fund has been approved and consented to by the Administrative Agent.
