Common use of Adequate Information Clause in Contracts

Adequate Information. The Sponsor is a sophisticated shareholder and has adequate information concerning the business and financial condition of Parent and the Company to make an informed decision regarding this Agreement and the transactions contemplated by the Merger Agreement and has independently and without reliance upon Parent or the Company and based on such information as the Sponsor has deemed appropriate, made its own analysis and decision to enter into this Agreement. The Sponsor acknowledges that Parent and the Company have not made and do not make any representation or warranty to the Sponsor, whether express or implied, of any kind or character except as expressly set forth in this Agreement. The Sponsor acknowledges that the agreements contained herein with respect to the Subject Securities held by the Sponsor are irrevocable.

The Sponsor is a sophisticated shareholder and has adequate information concerning the business and financial condition of Parent SPAC and the Company to make an informed decision regarding this Agreement and the transactions contemplated by the Merger Agreement Agreement, and has independently and without reliance upon Parent SPAC or the Company and based on such information as the Sponsor has deemed appropriate, made its own analysis and decision to enter into this Agreement. The Sponsor acknowledges that Parent SPAC and the Company have not made and do not make any representation or warranty to the Sponsorwarranty, whether express or implied, of any kind or character except as expressly set forth in this Agreement. The Sponsor acknowledges that the agreements contained herein with respect to the Subject Securities Shares held by the Sponsor are irrevocableirrevocable and shall only terminate pursuant to Section 5.2 hereof.
