Additional Terms for Non-U.S Sample Clauses

Additional Terms for Non-U.S. Optionees. Notwithstanding anything to the contrary herein, if the Optionee resides and/or works outside of the United States, the Optionee shall be subject to the Additional Terms and Conditions for Non-U.S. Optionees attached hereto as Addendum A and to any Country-Specific Terms and Conditions attached hereto as Addendum B. If the Optionee is a citizen or resident of a country (or is considered as such for local law purposes) other than the one in which the Optionee is currently residing or working or if the Optionee relocates to one of the countries included in the Country-Specific Terms and Conditions after the grant of the Option, the special terms and conditions for such country will apply to the Optionee to the extent the Company determines that the application of such terms and conditions is necessary or advisable in order to comply with local law or facilitate the administration of the Plan. The Additional Terms and Conditions for Non-U.S. Optionees and the Country-Specific Terms and Conditions constitute part of this Agreement and are incorporated herein by reference.
