Additional Recitals. Nothing in this Agreement precludes student from filing a charge or from participating in an administrative investigation of a charge before any appropriate government agency. However, student understands and agrees that he or she cannot obtain any monetary relief or recovery from such a proceeding. This Agreement shall be governed by and shall be interpreted in accordance with the laws of the State of California. The terms of this Agreement shall not be orally modified. If one or more of the provisions in this Arbitration provision is deemed invalid, void or unenforceable by law, then the remaining provisions will continue in full force and effect. Moreover, if any one or more of the provisions contained in this Arbitration provision shall be held to be excessively broad or partially invalid, illegal or unenforceable, it shall be construed by limiting and reducing it, so as to be enforceable to the extent compatible with the applicable law as it shall then appear. A court or other entity construing this Agreement should administer, modify, or interpret it to the extent and such manner as to render it enforceable.

2.2 The City has determined that the long-term operation of the E-Commerce Distribution Facility will result in substantial benefits to the City, and its citizens including, without limitation, the creation of significant new numbers of employment opportunities, property tax revenues, sales tax revenues and other ancillary benefits. Accordingly, the City has also determined that its entry into this Covenant Agreement and the performance of the Covenants by Owner serve a significant public purpose, while providing only incidental benefits to a private party.

The Undersigned agree, for themselves and their Successors, that the above representations are contractually binding, and legally enforceable rather than mere recitals, and they understand that if claims are made against Releasees that the Undersigned will be responsible for any costs and fees (including by not limited to attorney fees/costs) incurred by Releasees in defending the claims. This Agreement may not be modified in any way; it may not be changed orally or in writing.
