Any materials attached hereto as Exhibit B (the “Additional Material”) do not constitute an Issuer Free Writing Prospectus, and at the Applicable Time did not, and on the Closing Date will not, contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
