Common use of Additional CPS Clause in Contracts

Additional CPS. Upon issuance and following the payment of the issue price by SDC for each Additional CPS pursuant to the Purchase and Subscription Agreement at the Closing, the Additional CPS will be validly issued, fully paid and nonassessable, and SDC shall acquire good and valid title to the Additional CPS, free and clear of any Liens.
