Additional Consenting Creditor Sample Clauses

Additional Consenting Creditor. (a) A Creditor who is not a Consenting Creditor may become a Party as an Additional Consenting Creditor or an Additional Abstaining Creditor by delivering a duly executed and completed Creditor Accession Letter to the Calculation Agent and the Parent alongside Evidence of Holding. On delivery of a Creditor Accession Letter to the Calculation Agent and the Parent the acceding Consenting Creditor agrees to be bound by the terms of this Agreement as an Additional Consenting Creditor or Additional Abstaining Creditor (as the case may be) from the date of the relevant Creditor Accession Letter. (b) If a Creditor that accedes to this Agreement pursuant to paragraph (a) above has, prior to the date of its accession, entered into a Transfer in respect of all or any part of its Consenting Debt such that it does not have the power to vote, or direct the voting of, or approve changes in respect of that Consenting Debt, either directly or indirectly, it shall use reasonable endeavours to procure that the entity that does control the vote or approval delivers to the Calculation Agent a Creditor Accession Letter in respect of that Consenting Debt.
