Additional CM Services Sample Clauses

Additional CM Services. At any time during the term of this Agreement, the District may request that the Construction Manager provide additional CM Services related to the Project that are not otherwise required by this Agreement and that the Parties, at the time they executed this Agreement, reasonably did not anticipate would be necessary for the then-intended scope of the Project (“Additional CM Services”). Additional CM Services shall not be deemed or construed to include any usual or customary construction management services required for the Project as originally contemplated by the Parties. The Parties shall amend this Agreement to provide for performance by the Construction Manager of desired Additional CM Services, and the District shall not be responsible for payment for any Additional CM Services performed in the absence of an applicable amendment to this Agreement. The Construction Manager shall provide all Additional CM Services in accordance with the applicable provisions of this Agreement. The District shall compensate the Construction Manager for authorized Additional CM Services as provided in Section 7.5 herein.
Additional CM Services. 1. The CM shall be given additional compensation for the services described in Article Ill. 2. CM shall notify the DISTRICT in writing of the need for additional services required due to circumstances beyond the CM's control. CM shall obtain written authorization from the DISTRICT before rendering such services. Compensation for such services shall be compensated based on attached standard hourly rates. Such services shall include: a. Material PROJECT Scope Changes. Services required or necessary as a result of significant changes in the PROJECT scope or other requirements of the PROJECT, including PROJECT size, quality, or complexity or material changes to the Master Construction Schedule.
Additional CM Services. In exchange for the Construction Manager satisfactorily providing Additional CM Services in accordance with this CM Agreement as may be requested in writing by the District, the District shall compensate the Construction Manager for personnel reasonably necessary and used in the provision of Additional CM Services at the hourly rates set forth in Exhibit “C”. In accordance with Section 6.6, all Additional CM Services presented for payment by the District shall be accompanied by documentation reasonably, specifically and adequately evidencing such work.
Additional CM Services. At any time during the term of this CM Agreement, the District may request that the Construction Manager provide additional CM Services related to the Project (“Additional CM Services”). As used herein, Additional CM Services shall mean any service by the Construction Manager that the District determines is desirable or convenient, or necessary for proper completion of the Project, but which the Parties did not reasonably anticipate at the time of execution of the “Project Authorization Letter.” The Construction Manager shall not perform any Additional CM Services without obtaining prior written authorization from the District, and the District shall not be responsible for payment for any Additional CM Services performed in the absence of such written authorization. The District shall pay for authorized Additional CM Services as provided in Section 6.4.

  • Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at ▇▇▇▇://▇▇▇.▇▇▇▇▇.▇▇▇/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.

  • New Services If, within ninety (90) days after the Distribution Date, a Party desires the other Party to provide additional or different services which such other Party is not expressly obligated to provide under this Agreement (excluding, for the avoidance of doubt, any Additional Services or Service Adjustments, the “New Services”), then such Party will provide a written change request (in the form agreed by the Parties) to the other Party within ninety (90) days after the Distribution Date. The Party receiving such request shall negotiate in good faith to provide such New Service; provided, however, that no Party shall be obligated to provide any New Services, including because the Parties are unable to reach agreement on the terms thereof (including with respect to Service Charges therefor). If the Parties agree to any such New Service, then the Parties shall document such terms in a Service Schedule to be incorporated in Schedule A or Schedule B, as applicable. The Service Schedule shall describe in reasonable detail the nature, scope, service period(s), termination provisions and other terms applicable to such New Services. Each supplement to the applicable Service Schedule, as agreed to in writing by the Parties, shall be deemed part of this Agreement as of the date of such agreement and the New Services set forth therein shall be deemed “Services” provided under this Agreement, in each case subject to the terms and conditions of this Agreement. The Parties shall in good faith determine any costs and expenses, including any start-up costs and expenses, which would be incurred by the Provider in connection with the provision of such New Service, which costs and expenses shall be borne solely by the Recipient.

  • Transitional Services Upon cancellation, termination, or expiration of the Contract for any reason, the Contractor shall provide reasonable cooperation, assistance and Services, and shall assist the Department to facilitate the orderly transition of the work under the Contract to the Department and/or to an alternative contractor selected for the transition upon written notice to the Contractor at least thirty (30) business days prior to termination or cancellation, and subject to the terms and conditions set forth in the Contract.

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).
