Additional Assay Projects. In addition to the Projects described above, if requested by the Foundation the Company will utilize the Platform Technology to diligently conduct up to five (or two in case the Feasibility Grant as referenced below is not executed and granted) Additional Assay Projects at the Foundation’s discretion and subject to the terms below. “Additional Assay Project” means a project proposed by the Foundation or a Foundation- supported Entity and accepted and conducted by the Company utilizing the Platform Technology to develop an assay in accordance with a mutually agreed upon SOW and TPP, and potentially to further develop, commercialize, and distribute such assays under a similar launch project construct. It is acknowledged that the five assays covered under the “Feasibility Grant” currently under discussion by the Parties (which include the molecular test for tuberculosis) would, if funding agreements for such Feasibility Grant are executed and the applicable work contemplated thereby is conducted, exhaust all five Additional Assay Projects.

The parties agree that the five assays covered under the Proof of Concept Grant, which include: a TB Nucleic Acid Test, a sickle cell disease test and three tests for maternal and antenatal care, exhaust all five Additional Assay Projects; provided that, the Foundation may propose additional projects (each an “Additional Project”) necessary to complete the Market Authorization and/or support the commercialization of any of the Additional Assay Projects.
