Additional Appointments. Each Borrower hereby irrevocably (until Payment in Full or a change pursuant to Section 17.4) appoints and constitutes the Borrower Representative as its agent to (a) receive statements of account and all other notices from Administrative Agent with respect to the Obligations or otherwise under or in connection with this Agreement and the other Loan Documents, (b) execute and deliver Compliance Certificates and all other notices, certificates and documents to be executed and/or delivered by any Borrower under this Agreement or the other Loan Documents; and (c) otherwise act on behalf of that Borrower pursuant to this Agreement and the other Loan Documents.
Additional Appointments.
A. The State may permit the appointment of eligible permanent full-time BU 16 employees for additional appointments to fill advertised vacancies; or when management determines additional workload needs. Employees will document the actual hours work pursuant to Section 7.6(C)(5) and compensated at their regular hourly rate.
B. Employees holding a position in addition to other full-time employment with the State shall not receive credits (such as, leave credits, State service) or benefits (such as health or retirement) for service in the additional position pursuant to the applicable government code sections and regulations.
C. The additional appointment may be in the same facility performing duties not related to the original full-time appointment i.e. not in the same unit, or yard of the original appointment.
Additional Appointments. The Company may not acquire more than two Ford and two Lincoln Mercury Dealerships during the first twelve-month period after execution of this agreement. Thereafter, the Company will not seek or apply for additional Ford or Lincoln Mercury Dealerships unless and until the Company's Dealerships are meeting Ford's performance criteria. Ford will provide each Dealership a monthly report, summarizing its performance for the preceding month and for the calendar year-to-date period. Ford's performance criteria include retail car market share at or above regional average, retail truck market share at or above regional average, satisfactory customer handling/customer satisfaction performance as established by Ford, and capitalization meeting or exceeding established guides. The Company also shall not seek or apply for an additional Dealership if, once owning such Dealership, the Company would own or control, directly or indirectly, that number of authorized Dealerships with total retail sales of new vehicles in the immediately preceding calendar year of more than 2% of the total Ford or Lincoln Mercury retail sales volume sold in the United States. The Company also shall not seek or apply for an additional Dealership if, once owning such Dealership, the Company would own or control more than 2% of the total Ford or Lincoln Mercury retail sales volume sold in any state. At its discretion, Ford will consider increasing the 2% limitations to permit the acquisition of additional Dealerships provided the Company demonstrates that its existing Dealerships are in compliance with Ford's performance criteria and capitalization requirements. In no event, however, will the Company seek or apply for additional Ford or Lincoln Mercury Dealerships if the Company will own or control more than 5% of Ford or Lincoln Mercury's national or state retail sales volumes. The national and state limitations are intended to apply separately to Ford and Lincoln Mercury retail sales volumes. The Company also shall not seek or apply for a Dealership in any market area, as defined from time to time by Ford for its Dealership network that would result in the Company owning or controlling, directly or indirectly, more than one Ford authorized Dealership in those market areas having 3 or less Ford authorized Dealerships in them, or in the Company owning or controlling, directly or indirectly, more than 25% of the Ford authorized Dealerships in market areas, as defined from time to time by Ford f...

Additional Appointments. 21.1 If, at any time, the Board, after consultation with the Investment Adviser, genuinely believes, acting reasonably in the light of all the circumstances at the time of which they are aware, that the Company may not achieve a 80% investment level in satisfactory Venture Capital Investments in the period or periods required by the ITA, the Company shall be entitled to appoint, in addition to the Investment Adviser, one or more third parties to manage or advise in respect of the investment of the whole or some part of its uninvested funds on such reasonable terms as the Board may approve ("additional adviser(s)").
21.2 The terms of any such appointment may provide for the payment to such additional adviser(s) of:
21.2.1 such management fees which the Board, acting reasonably, consider appropriate in all circumstances; together with
21.2.2 such amount of the incentive fee payable under the separate incentive agreement of even date which would otherwise have been payable to the Investment Adviser in a ratio of the value of the respective Investments made by the Investment Adviser and any additional adviser (s) at the time of calculation of any payment under that agreement;
21.2.3 provided that for the purpose of these calculations, investments shall be valued at current valuation (whether cost or otherwise) net of any repayments or redemptions. If any appointments are made under the provisions of clause 21.1 above, the Investment Adviser will not be entitled to an annual adviser fee (as calculated in accordance with the provisions of Schedule 2, Part A) in relation to any Investments made by such additional adviser (s). The balance of the overall management fee shall be paid to the Investment Adviser.

Fellows must commit their time to research activities, and administrative duties in the Centre must not consume a substantial amount of their time. The variation must include details of the arrangements to be put in place to ensure that the Fellows’ administrative duties do not consume a substantial amount of their time (including details of those persons who will be responsible for the administrative functions of the Centre).

(a) A variation must be submitted if the DECRA requests to undertake an additional remunerated appointment that would significantly enhance the Award. The variation must include the details of the remuneration and may be approved with a pro rata salary relinquishment.
(b) A variation must be submitted if the DECRA is to act as a Director of an ARC Centre of Excellence. The DECRA must commit their time to research and research capacity building activities, and administrative duties in the Centre must not consume a substantial amount of their time. The variation must include details of the arrangements to be put in place which ensures that the DECRA’s administrative duties do not consume a substantial amount of their time (including details of those persons who will be responsible for the administrative functions of the Centre). If there are vacant positions on the Board, the Directors may appoint one or more additional Directors, except in the case of a vacancy resulting from a failure to elect the number or minimum number of Directors provided for in the Articles. The total number of Directors so appointed may not exceed one third of the number of Directors elected at the previous Annual General Meeting. Furthermore, Directors so appointed shall hold office for a term expiring on the date of the next Annual General Meeting, or Special General Meeting as the case determines.
