Additional Amendment Effectiveness Sample Clauses
The Additional Amendment Effectiveness clause defines the conditions under which any further amendments to an agreement become valid and enforceable. Typically, this clause specifies that amendments must be made in writing and signed by all relevant parties, ensuring that any changes are formally acknowledged. Its core practical function is to prevent informal or unauthorized modifications, thereby maintaining the integrity and clarity of the original agreement.
Additional Amendment Effectiveness. Section 2.01 of this Amendment shall become effective as of the first date (the “Additional Amendment Effective Date”) on which:
(a) this Amendment shall have been executed and delivered by the Loan Parties, the Administrative Agent and the Required Lenders; and
(b) all conditions set forth in Section 1.02 of this Amendment shall have been satisfied.
Additional Amendment Effectiveness. Section 2.01 of this First Refinancing Amendment shall become effective as of the first date (the “Additional Amendment Effective Date”) on which each of the following conditions have been satisfied:
(a) The Administrative Agent shall have received counterparts of this First Refinancing Amendment that, when taken together, bear the signatures of the Borrower and the Required Lenders.
(b) The First Refinancing Amendment Effective Date shall have occurred.
Additional Amendment Effectiveness. The amendment of Section 2.21 of the Original Credit Agreement effected by this Article II shall become effective as of the 2009 Restatement Effective Date upon (a) the satisfaction of the conditions set forth in Section 1.4 hereof and (b) the receipt by the Administrative Agent (or its counsel), at any time on or prior to the date that is five Business Days after the 2009 Restatement Effective Date, of duly executed counterparts hereof that bear the signatures of the Supermajority Lenders. Notwithstanding anything in this Amendment or the Restated Credit Agreement to the contrary, if the amendment of Section 2.21 of the Original Credit Agreement pursuant to this Section 2.2 becomes effective in accordance with the immediately preceding sentence, then Section 2.21 of the Restated Credit Agreement will be replaced by Exhibit E hereto.
