Common use of Actuarial Reports Clause in Contracts

Actuarial Reports. Section 2.23 of the Seller Disclosure Letter lists (and Seller has made available to Buyer true, complete and correct copies of) all material actuarial reports prepared by opining actuaries, independent or otherwise, from and after January 1, 2009, with respect to the Business or any of the Insurance Subsidiaries (including all material attachments, addenda, supplements and modifications thereto). To the Knowledge of Seller, the information and data furnished by or on behalf of the Transferred Companies to their independent actuaries in connection with the preparation of any such actuarial reports were accurate in all material respects for the periods covered in such reports.

Section 2.23 4.24 of the Seller Disclosure Letter Schedule lists (and the Seller has made available to Buyer the Purchaser Parties true, complete and correct copies of) all material actuarial reports prepared by opining actuaries, independent or otherwise, from and after January 1September 30, 20092010, with respect to the Business or any of the Insurance Subsidiaries PMAC (including all material attachments, addenda, supplements and modifications thereto). To the Knowledge of the Seller, the factual information and data furnished by or on behalf of the Transferred Companies PMAC to their independent its actuaries in connection with the preparation of any such actuarial reports were accurate in all material respects for the periods covered in such reports.

Section 2.23 5.18 of the Seller Disclosure Letter Schedule lists (and Seller has the Sellers have made available to Buyer the Purchaser Parties true, complete and correct copies of) all material actuarial reports prepared by opining actuaries, independent or otherwise, from and after January 1September 30, 20092010, with respect to the Business or any of the Insurance Subsidiaries CMG Companies (including all material attachments, addenda, supplements and modifications thereto). To the Knowledge of Sellerthe Sellers, the factual information and data furnished by or on behalf of the Transferred CMG Companies to their independent actuaries in connection with the preparation of any such actuarial reports were accurate in all material respects for the periods covered in such reports.
