Common use of ACTUAL CONFLICTS OF INTEREST Clause in Contracts

ACTUAL CONFLICTS OF INTEREST. On any issue involving actual conflicts of interest not provided for elsewhere in this Agreement, each of the Manager and the General Partner will be guided by its good faith judgment as to the best interests of the Partnership and shall take such actions as are determined by the Manager and the General Partner, as the case may be, to be necessary or appropriate to ameliorate any such conflict of interest and, in addition, may take such actions as may be permitted or required under the Institutional Fund Agreement. If the General Partner or the Manager takes an action in respect of a matter giving rise to a conflict of interest, neither the General Partner nor the Manager nor any of their respective Affiliates shall have any liability to the Partnership or any Limited Partner for actions in respect of such matter taken in good faith by them in the pursuit of their own respective interests.
