Common use of Actions on Behalf of the Authority Clause in Contracts

Actions on Behalf of the Authority. Except as otherwise provided in this Agreement, the following officers of the Authority are authorized to give any approval or notice or take any action on behalf of the Authority in connection with the administration of this Agreement: the Executive Director, the Deputy Director, the Director of Finance, and the Director of Legal Affairs, or any person duly authorized to act in any of the foregoing capacities. The Director of Asset Management is authorized to approve the distribution of Limited Dividend Payments, monthly and annual reports of operations, deposits and withdrawals from the ORC Account and the Replacement Reserve Fund, and the appointment and termination of the management agent for the Development. The term "Authorized Officer of the Authority" refers to these employees of the Authority when acting within the scope of their authority.
