Common use of Actions by the Board of Managers Clause in Contracts

Actions by the Board of Managers. Except as may be expressly limited by the provisions of this Agreement, including, without limitation, Sections 4.01(a)(iii), 4.01(a)(vi), 4.01(a)(vii), 4.01(d) and 4.01(e) hereof, each Manager is specifically authorized to execute, sign, seal and deliver in the name and on behalf of the Company any and all agreements, certificates, instruments or other documents requisite to carrying out the intentions and purposes of this Agreement and matters approved by the Board of Managers with respect to the Company.

Actions by the Board of Managers. Except as may be expressly limited by the provisions of this Agreement, including, without limitation, Sections including Section 4.01(a)(iii) and Section 4.01(a)(v), 4.01(a)(vi), 4.01(a)(vii), 4.01(d) and 4.01(e) hereof, each any Manager is specifically authorized to execute, sign, seal and deliver in the name and on behalf of the Company any and all agreements, certificates, instruments or other documents requisite to carrying out the intentions and purposes of this Agreement and matters approved by the Board of Managers with respect to the Company.
