Common use of Actions by Secured Party Clause in Contracts

Actions by Secured Party. The Secured Party will promptly execute and deliver (or promptly cause to be executed and delivered) to Grantor all such proxies and other instruments as Grantor may reasonably request for the purpose of enabling Grantor to exercise the voting and other rights that it is entitled to exercise pursuant to Section 5.1 above and to receive the dividends or interest payments that it is authorized to receive and retain pursuant to Section 5.2 above.

Actions by Secured Party. The Secured Party will promptly execute and deliver (or promptly cause to be executed and delivered) to Grantor all such proxies and other instruments as Grantor may reasonably request for the purpose of enabling Grantor to exercise receive the voting and other rights that it is entitled to exercise pursuant to benefits of Section 5.1 above and to receive the dividends or interest payments that it is authorized to receive and retain pursuant to Section 5.2 above.
