Actions and Proceedings, etc. There are no (i) outstanding judgments, orders, injunctions or decrees of any Governmental Entity or arbitration tribunal against MSG or any of its Affiliates or (ii) investigations or Actions which are pending or, to the knowledge of MSG, threatened against MSG or any of its Affiliates, which, in each case, could have a material adverse effect on the ability of MSG to consummate the transactions contemplated hereby.
