Actions Affecting Property. Trustor shall give Beneficiary and Trustee prompt written notice of the assertion of any claim with respect to, or the filing of any action or proceeding affecting or purporting to affect, the Property or Skyways, or title thereto or any right of possession thereof, or this Deed of Trust or the security hereof or the rights or powers of Beneficiary or Trustee hereunder. Trustor shall appear in and contest any such action or proceeding at Trustor’s sole expense; and shall pay all costs and expenses, including cost of evidence of title and reasonable attorneys’ fees, in any such action or proceeding in which Beneficiary or Trustee may appear.

Actions Affecting Property. Between the Effective Date and closing hereunder, Seller shall not execute any new leases (a “New Lease” and together with the Existing Leases, the “Leases”) or lease amendments without Buyer’s prior written approval, which approval shall be in its sole discretion. In addition, during the same period, Seller shall not execute any documents, agreements or instruments affecting title to the Property, or (to the extent within Seller’s control) otherwise allow or permit the imposition of any liens or other encumbrances which affect title to the Property, without the prior written approval of the Buyer. In the event that Buyer fails to respond within 4 business days after any request for approval of a New Lease or any other document submitted after the Effective Date, then Buyer’s approval shall be deemed granted. Furthermore, Buyer shall be responsible for paying, and shall indemnify and hold harmless Seller from, space improvement costs, leasing commissions and other similar expenses related to leases of space at the Property which arise in connection with the execution of a New Lease after the Effective Date when and as due, provided that such New Lease is approved or deemed approved by Buyer pursuant to this section, and all such costs are disclosed in writing to Buyer at the time Buyer approves such New Lease.
Actions Affecting Property. Mortgagor promises and agrees that if, during the existence of this Mortgage, there shall be commenced or pending any suit or action affecting said Property, or any part thereof, or the title thereto, or if any adverse claim for or against said Property, or any part thereof, be made or asserted, it will appear in and defend any such matter purporting to affect the security of this Mortgage and will pay all costs and damages arising because of such action.

Actions Affecting Property. Trustor shall appear in and contest any action or proceeding purporting to adversely affect the Property or the rights or powers of Beneficiary or Trustee hereunder, and shall pay all costs and expenses, including cost of evidence of title and reasonable attorneys’ fees, in any such action or proceeding in which Beneficiary or Trustee may appear. Should Trustor fail to make any payment or do any act as and in the manner provided in any of the Credit Documents, Beneficiary and/or Trustee, each in their own discretion, without obligation to do so and after written notice to or demand upon Trustor and without releasing Trustor from any obligation, may make or do the same in such manner and to such extent as either may deem necessary in their reasonable judgment to protect their respective interest in and to the Property. Trustor shall, immediately upon demand therefor by Beneficiary or Trustee, pay all costs and expenses incurred by Beneficiary or Trustee in connection with the exercise by Beneficiary or Trustee of the foregoing rights, including without limitation costs of evidence of title, court costs, appraisals, surveys and reasonable attorneys’ fees.
