Action Without Meetings. Any action required or permitted to be taken at a Board meeting may be taken without a meeting if the action is taken by the number of directors whose vote would be necessary to approve the action at a meeting of the Board at which all directors were present. The action shall be evidenced by one or more written consents describing the action taken, signed by the directors taking the action, and delivered to the Company for inclusion in the minutes or for filing with the Company records reflecting the action taken. Action taken under this Section 10.9 shall be effective when the last director signs the consent, unless the consent specifies a different effective date. Prompt notice of the taking of such action by less than unanimous written consent shall be given to those directors who have not consented in writing.
