Action upon Instruction. (a) Subject to the rights of the Certificateholders and the Noteholders under Article IV, and except as provided in the penultimate sentence of this paragraph, the Board of Trustees (the “Instructing Party”) shall have the exclusive right to direct the actions of the Owner Trustee in the management of the Trust, so long as such instructions are not inconsistent with the express terms set forth herein or in any other Basic Document. The Board of Trustees, as Instructing Party, designates the Administrator, as its authorized agent for the purpose of providing written instructions to the Owner Trustee as contemplated herein. Each instruction delivered by the Instructing Party to the Owner Trustee shall certify to the Owner Trustee that any actions to be taken pursuant to such instruction comply with the terms of this Agreement and the Basic Documents. The Instructing Party shall not instruct the Owner Trustee in a manner inconsistent with this Agreement or the other Basic Documents, except that the Instructing Party may instruct the Owner Trustee to waive notice periods set forth herein or in the other Basic Documents provided that the party or parties entitled to receive such notice consents to such waiver or join in such instruction. Notwithstanding anything to the contrary herein, in connection with the dissolution and winding up of the Trust following payment in full of the Notes or other liquidation or final settlement of the last outstanding Loan (including the purchase by the Servicer at its option of the corpus of the Trust as described in Section 10.01(a) of the Sale and Servicing Agreement) and the subsequent distribution of all amounts in respect of such Loans as provided in the Basic Documents and the satisfaction and discharge of the Indenture pursuant to Section 9.1(a), the Certificateholders may be the Instructing Party. To the extent the Owner Trustee acts in good faith in accordance with any written instruction of the Instructing Party received by it, the Owner Trustee shall not be liable on account of such action to any Person. (b) The Owner Trustee shall not be required to take any action hereunder or under any Basic Document if the Owner Trustee shall have reasonably determined, or shall have been advised by counsel, that such action is likely to result in liability on the part of the Owner Trustee or is contrary to the terms hereof or of any other Basic Document or is otherwise contrary to law. (c) Whenever the Owner Trustee is unable to decide between alternative courses of action permitted or required by the terms of this Agreement or any Basic Document, the Owner Trustee shall promptly give notice (in such form as shall be appropriate under the circumstances) to the Instructing Party requesting instruction as to the course of action to be adopted, and to the extent the Owner Trustee acts in good faith in accordance with any written instruction of the Instructing Party received, the Owner Trustee shall not be liable on account of such action to any Person. If the Owner Trustee shall not have received appropriate instruction within ten (10) days of such notice (or within such shorter period of time as reasonably may be specified in such notice or may be necessary under the circumstances) it may, but shall be under no duty to, take or refrain from taking such action, not inconsistent with this Agreement or the other Basic Documents, as it shall deem to be in the best interests of the Certificateholders, and shall have no liability to any Person for such action or inaction absent willful misconduct. (c) Whenever the Owner Trustee is unable to decide between alternative courses of action permitted or required by the terms of this Agreement or under any Basic DocumentTransaction Document to which the Trust is a party, the Owner Trustee shall promptly give notice (in such form as shall be appropriate under the circumstances) to the Instructing Party Controlling Noteholder requesting instruction from the Controlling Noteholder as to the course of action to be adoptedadopted and stating that if the Trustee shall not have received appropriate instruction from the Controlling Noteholder within ten (10) Business Days of such notice (or within such shorter period of time as reasonably may be specified in such notice or may be necessary under the circumstances) the Trustee may, but shall be under no duty to, take or refrain from taking such action not inconsistent with this Agreement and the other Transaction Documents to which the Trust is a party as it shall deem to be in the best interests of the Holders and shall have no personal liability to any Person for such action or inaction. To the extent the Owner Trustee acts or refrains from acting in good faith in accordance with any written instruction of received by the Instructing Party receivedTrustee from the Controlling Noteholder, the Owner Trustee shall not be personally liable on account of such action or inaction to any Person. If the Owner Trustee shall not have received appropriate instruction from the Controlling Noteholder within ten (10) days Business Days of such notice (or within such shorter period of time as reasonably may be specified in such notice or may be necessary under the circumstances) the Trustee may, but shall be under no duty to, take or refrain from taking such action not inconsistent with this Agreement and the other Transaction Documents to which the Trust is a party as the Trustee shall deem to be in the best interests of the Holders and shall have no personal liability to any Person for such action or inaction.
(d) In the event that the Trustee is unsure as to the application of any provision of this Agreement or any Transaction Document to which the Trust is a party or any such provision is ambiguous as to its application, or is, or appears to be, in conflict with any other applicable provision, or in the event that this Agreement permits any determination by the Trustee or is silent or is incomplete as to the course of action that the Trustee is required or permitted to take with respect to a particular set of facts, the Trustee may give notice (in such form as shall be appropriate under the circumstances) to the Controlling Noteholder requesting instruction from such Holder and stating that if the Trustee shall not have received appropriate instruction from such Holder within ten (10) Business Days of such notice (or within such shorter period of time as reasonably may be specified in such notice or may be necessary under the circumstances) it may, but shall be under no duty to, take or refrain from taking such action, action not inconsistent with this Agreement or the other Basic Documents, Transaction Documents to which the Trust is a party as it shall deem to be in the best interests of the CertificateholdersHolders, and shall have no personal liability to any Person for such action or inaction absent willful misconduct.

If the Owner Trustee has shall not have received appropriate instruction within ten (10) days of such notice (or within such shorter period of time as reasonably may be specified in such notice or may be necessary under the circumstances) it may, but shall be under no duty to, take or refrain from taking such action, not inconsistent with this Agreement or the other Basic Documents, as it shall deem to be in the best interests of the Certificateholders, and shall have no liability to any Person for such action or inaction inaction, absent gross negligence or willful misconduct.

Action upon Instruction. (a) Subject to Except as otherwise set forth herein, the rights Note Insurer or, with the consent of the Certificateholders and the Noteholders under Article IV, and except as provided in the penultimate sentence of this paragraphNote Insurer, the Board of Trustees (the “Instructing Party”) Subordinated Certificateholders shall have the exclusive right to direct the actions of the Owner Trustee in the management of the TrustTrust (including all rights exercisable by the Trust with respect to the Trust Property) and the actions of the Collateral Agent, the Note Paying Agent, the Certificate Paying Agent, the Note Registrar and the Certificate Registrar in the performance of their duties hereunder, in each case, so long as such instructions directions are not inconsistent with the express terms set forth herein or in any other Basic Related Document. The Board of Trustees, as Instructing Party, designates the Administrator, as its authorized agent for the purpose of providing written instructions to the Owner Trustee as contemplated herein. Each instruction delivered by the Instructing Party to the Owner Trustee shall certify to the Owner Trustee that any actions to be taken pursuant to such instruction comply with the terms of this Agreement and the Basic Documents. The Instructing Party shall not instruct the Owner Trustee in a manner inconsistent with this Agreement or the other Basic Documents, except that the Instructing Party may instruct the Owner Trustee to waive notice periods set forth herein or in the other Basic Documents provided that the party or parties entitled to receive such notice consents to such waiver or join in such instruction. Notwithstanding anything to the contrary herein, in connection with the dissolution and winding up of the Trust following payment in full of the Notes or other liquidation or final settlement of the last outstanding Loan (including the purchase by the Servicer at its option of the corpus of the Trust as described in Section 10.01(a) of the Sale and Servicing Agreement) and the subsequent distribution of all amounts in respect of such Loans as provided in the Basic Documents and the satisfaction and discharge of the Indenture pursuant to Section 9.1(a), the Certificateholders may be the Instructing Party. To the extent the Owner Trustee acts in good faith in accordance with any written instruction of the Instructing Party received by it, the Owner Trustee shall not be liable on account of such action to any Person.
(b) The Owner Trustee None of the Trustee, the Collateral Agent, the Note Paying Agent, the Certificate Paying Agent, the Note Registrar or the Certificate Registrar shall not be required to take any action hereunder or under any Basic Related Document if the Owner Trustee it shall have reasonably determined, or shall have been advised by counsel, that such action is likely contrary to the terms hereof or of any Related Document or is otherwise contrary to law or may result in liability on the part of the Owner Trustee Trustee, the Collateral Agent, the Note Paying Agent, the Certificate Paying Agent, the Note Registrar or the Certificate Registrar
(▇) ▇▇▇▇ ▇▇ ▇▇▇ ▇▇▇▇▇▇e, the Collateral Agent, the Note Paying Agent, the Certificate Paying Agent, the Note Registrar and the Certificate Registrar may take any action (a) that is contrary inconsistent with the purposes of the Trust set forth in Section 2.3 or (b) that, to the terms hereof actual knowledge of a Responsible Officer, would result in the Trust's becoming taxable as a corporation for federal income tax purposes. The Note Insurer and the Subordinated Certificateholders may not direct taking action that would violate the provisions of this Section. Subject to the foregoing:
(i) Whenever the Trustee receives a request for the Trustee's consent to any amendment, modification or waiver with respect to the Indentures or any document relating thereto, or receives any other solicitation for any action with respect to the Indentures or Underlying Residual Rights, the Trustee shall promptly give notice to the Noteholders, the Subordinated Certificateholders and the Note Insurer requesting instructions as to the course of action to be adopted and, to the extent it acts in good faith in accordance with any written instructions received from the Holders of a majority of the Principal Amount of the Notes, the Holders of a majority of the Percentage Interests of the Subordinated Certificates and the Note Insurer, it shall not be liable on account of such action to any Person; provided, however, that the Trustee shall not vote in favor of or consent to any matter (i) which would alter the timing or amount of any other Basic Document payment on the Underlying Residual Rights or is otherwise contrary (ii) which would result in the exchange or substitution of any Underlying Residual Rights pursuant to lawa plan for the refunding or refinancing of such Underlying Residual Rights, except in each case with the unanimous consent of the Noteholders.
(cii) Whenever the Owner Trustee Trustee, the Collateral Agent, the Note Paying Agent, the Certificate Paying Agent, the Note Registrar or the Certificate Registrar, is unable to decide between alternative courses of action permitted or required by the terms of this Agreement or any Basic Related Document, the Owner Trustee it shall promptly give notice (in such form as shall be appropriate under the circumstances) to the Instructing Party Note Insurer and the Subordinated Certificateholders requesting instruction as to the course of action to be adopted, and to the extent the Owner Trustee it acts in good faith in accordance with any written instruction received from the Holders of a majority of Percentage Interests of the Instructing Party receivedSubordinated Certificates and the Note Insurer, the Owner Trustee it shall not be liable on account of such action to any Person. If the Owner Trustee shall not have received appropriate instruction within ten (10) days of such notice (or within such shorter period of time as reasonably may be specified in such notice or may be necessary under the circumstances) it may, but shall be under no duty to, take or refrain from taking such action, not inconsistent with this Agreement or the other Basic Documents, as it shall deem to be in the best interests of the Certificateholders, and shall have no liability to any Person for such action or inaction absent willful misconduct.
(diii) In If the event that Trustee, the Owner Trustee Collateral Agent, the Note Paying Agent, the Certificate Paying Agent, the Note Registrar or the Certificate Registrar is unsure as to the application of any provision of this Agreement or any other Basic Related Document or any such provision is ambiguous as to its application, or is, or appears to be, in conflict with any other applicable provision, or in the event that if this Agreement permits any determination by the Owner Trustee it or is silent or is incomplete as to the course of action that the Owner Trustee it is required to take with respect to a particular set of facts, the Owner Trustee it may give notice (in such form as shall be appropriate under the circumstances) to the Instructing Party Note Insurer and the Subordinated Certificateholders requesting instruction and, to the extent that the Owner Trustee it acts or refrains from acting in good faith in accordance with any such instruction receivedreceived from the Holders of a majority of Percentage Interests of the Subordinated Certificates and the Note Insurer, the Owner Trustee it shall not be liable, on account of such action or inaction, to any Person. .
(iv) If the Owner Trustee has Trustee, the Collateral Agent, the Note Paying Agent, the Certificate Paying Agent, the Note Registrar or the Certificate Registrar shall not have received appropriate instruction within ten (10) 10 days of such any notice given pursuant to the foregoing clauses (i), (ii) or (iii) (or within such shorter period of time as reasonably may be specified in any such notice or may be necessary under the circumstances) ), it may, but shall be under no duty to, take or refrain from taking such action, not inconsistent with this Agreement or the other Basic Related Documents, as it shall deem to be in the best interests of the CertificateholdersNoteholders, the Note Insurer and, after the Notes have been paid in full, the Subordinated Certificateholders and shall have no liability to any Person for such action or inaction absent willful misconductinaction.

Action upon Instruction. (a) Subject to Article IV and the rights terms of the Certificateholders and the Noteholders under Article IV, and except as provided in the penultimate sentence of this paragraphSpread Account Agreement, the Board of Trustees Security Insurer (so long as an Insurer Default shall not have occurred and be continuing) or the Certificateholders (if an Insurer Default shall have occurred and be continuing) (the “"Instructing Party”") shall have the exclusive right to direct the actions of the Owner Trustee in the management of the Trust, so long as such instructions are not inconsistent with the express terms set forth herein or in any other Basic Document.
