Action by Members Without a Meeting. Action required or permitted to be taken at a meeting of Members associated with a Series may be taken without a meeting and without prior notice if written consents of Members associated with such Series are received representing the minimum number of votes that would be necessary to authorize or take such action at a meeting at which all Members of such Series were present and voted.

Action by Members Without a Meeting. Action required or permitted to be taken at a meeting of Voting Members associated with a Series may be taken without a meeting and without prior notice if written consents consents, whether oral or written, of Members Managers associated with such Series are received representing the minimum number of votes that would be necessary to authorize or take such action at a meeting at which all Voting Members of such Series were present and voted.

Action required or permitted to be taken at a meeting of Series Members associated with a Series may be taken without a meeting and without prior notice if written consents consents, whether oral or written, of Series Members associated with such Series are received in writing (by email originating from a Members’ email account, or mail) representing the minimum number of votes that would be necessary to authorize or take such action at a meeting at which all Members of such Series were present and voted, and all Series Members entitled to vote were notified of the meeting.
