Action By Manager. 8.01 The Manager has full authority to act on behalf of the Company and its Members in its best interest.
Action By Manager. Except as otherwise expressly provided in this Agreement, the Company’s Certificate of Formation or the TBOC, all decisions with respect to the management of the business and affairs of the Company shall be made by determination of the Manager at a meeting or evidenced by a written consent of the Manager.
