Action By Manager. In exercising the voting or other approval rights as provided herein, the Manager may act through meetings and/or written consents.

Action By Manager. Except as otherwise expressly provided in this Agreement, the Company’s Certificate of Formation or the TBOC, all decisions with respect to the management of the business and affairs of the Company shall be made by determination of the Manager at a meeting or evidenced by a written consent of the Manager.

Action By Manager. Any action required to be, or which may be, taken by the Manager may be taken without a meeting if consented thereto in a writing setting forth the action so taken and signed by the Manager (or a majority of the Managers is there is more than one).
